甲乙雙方本著平等互利、友好協(xié)作的原則，經(jīng)協(xié)商，就甲方與乙方聯(lián)合經(jīng)營(yíng)出口業(yè)務(wù)達(dá)成如下協(xié)議：

一、 甲方責(zé)任

1．甲方與乙方聯(lián)合經(jīng)營(yíng)出口________產(chǎn)品，具體品名、規(guī)格、數(shù)量及價(jià)格等以出口合同為準(zhǔn)。

2．協(xié)助乙方對(duì)外索賠，由此產(chǎn)生的費(fèi)用由乙方承擔(dān)。

3．提供本協(xié)議每一票出口貨物所需出口相關(guān)單證。

4．負(fù)責(zé)向銀行辦理交單議付手續(xù)和收結(jié)匯。甲方在收到結(jié)匯水單、出口核銷單、報(bào)關(guān)單及乙方提供的增值稅發(fā)票（經(jīng)國(guó)稅局認(rèn)定為真實(shí)有效的增值稅發(fā)票）后三個(gè)工作日內(nèi)，按結(jié)算比率（詳見結(jié)算表）將款項(xiàng)（扣除銀行和甲方代墊費(fèi)用）付至乙方工廠；如匯率變化，按新匯率執(zhí)行。若外匯貨款到帳發(fā)生在每月的1—10日期間，則貨款先按1美元：____元人民幣付給乙方，余款延至每月10日后付給乙方。

5．負(fù)責(zé)辦理外匯核銷手續(xù)。

二、乙方責(zé)任

1．負(fù)責(zé)辦理本協(xié)議每一票外銷合同項(xiàng)下的貨物訂倉、排載、裝運(yùn)、報(bào)關(guān)、報(bào)檢、保險(xiǎn)及編制有關(guān)單據(jù)等手續(xù)，甲方積極協(xié)助乙方辦理上述手續(xù)。

2．乙方對(duì)貨物的質(zhì)量、數(shù)量、包裝、交貨期負(fù)責(zé)，因貨物質(zhì)量、數(shù)量、包裝、交貨期以及不可抗力等原因造成的損失由乙方承擔(dān)。

3．負(fù)責(zé)聯(lián)系境外客戶，通知境外客戶將外匯貨款支付到甲方指定的銀行帳戶，或開立以甲方為受益人的即期不可撤消信用證。所有因外商索賠，外商違約或者其他原因造成本協(xié)議外銷合同未能履行、延遲履行、部分履行或履行不符合約定條件，使甲方未能按時(shí)收匯核銷或無法收匯核銷，乙方承擔(dān)由此產(chǎn)生的一切經(jīng)濟(jì)損失和法律責(zé)任。

4．乙方異地自理報(bào)關(guān)的，應(yīng)接受甲方監(jiān)督管理，并提前5天將出貨計(jì)劃和需要領(lǐng)取的單證傳真給甲方。所領(lǐng)取的單證應(yīng)在30天內(nèi)歸還甲方，乙方應(yīng)保證合法、安全地使用甲方提供的單證，如發(fā)生單證丟失、使用不當(dāng)和延誤等情況，所引起的一切后果和經(jīng)濟(jì)損失由乙方承擔(dān)

5．乙方應(yīng)遵守國(guó)家法律、法規(guī)和各項(xiàng)規(guī)定，乙方對(duì)甲方在授權(quán)范圍內(nèi)依本協(xié)議所做的

一切行為承擔(dān)法律責(zé)任。若乙方在執(zhí)行本協(xié)議過程中因假冒商標(biāo)、假冒產(chǎn)地或商標(biāo)侵權(quán)等違法違紀(jì)導(dǎo)致甲方經(jīng)濟(jì)和聲譽(yù)損失，乙方負(fù)全部責(zé)任。

6．乙方必須在報(bào)關(guān)出口后60天內(nèi)提供與本協(xié)議項(xiàng)下每批貨物的出口報(bào)關(guān)單相符的，由供貨工廠開具的增值稅發(fā)票，承擔(dān)增值稅發(fā)票不合法、不準(zhǔn)確、不正確而導(dǎo)致甲方無法退稅或造成騙稅行為的經(jīng)濟(jì)損失和法律責(zé)任。如乙方提供的增值稅發(fā)票、關(guān)單、核銷單系偽造或有其他與稅務(wù)局等國(guó)家管理機(jī)關(guān)要求不符之處，甲方有權(quán)拒付相當(dāng)于應(yīng)退稅款的余款。

7、乙方應(yīng)督促境外客戶按時(shí)付匯，保證甲方能在報(bào)關(guān)出口后3個(gè)月內(nèi)收回外匯。若無法按時(shí)收匯核銷而導(dǎo)致無法退稅的，乙方應(yīng)承擔(dān)由此產(chǎn)生的一切經(jīng)濟(jì)損失和法律責(zé)任。

8．若由于乙方原因?qū)е聼o法退稅的，乙方仍需安排外匯到帳，且必須開具普通商業(yè)發(fā)票給甲方，同時(shí)甲方向乙方收取出口報(bào)關(guān)金額1%的手續(xù)費(fèi)；若乙方無法安排外匯到帳或無法開具普通商業(yè)發(fā)票給甲方，由此產(chǎn)生的一切經(jīng)濟(jì)損失和法律責(zé)任均由乙方承擔(dān)。

三、貨款結(jié)算：

1．甲方應(yīng)付乙方貨款以凈收匯按以下結(jié)算比價(jià)表計(jì)算：

出口退稅率____結(jié)算及開票比價(jià)（美元:人民幣）____%

2．乙方應(yīng)按開票比價(jià)足額開具增值稅發(fā)票，開票不足的應(yīng)退稅款由乙方承擔(dān)。

3．甲方付給工廠的貨款應(yīng)通過銀行匯付，收款人必須與開票單位相一致。

四、信用證審證條款：甲方收到信用證后翻譯并傳真給乙方，由乙方?jīng)Q定是否接受，經(jīng)書面確認(rèn)后傳真給甲方。

第2篇 外貿(mào)代理合同

本協(xié)議雙方為了發(fā)展貿(mào)易，在平等互利的基礎(chǔ)上，按下列條件簽定本協(xié)議。

5 付款

訂單確認(rèn)后，乙方須按照有關(guān)確認(rèn)書所規(guī)定的時(shí)間開立以甲方為受益人的保兌的、不可撤消的即期信用證。乙方開出信用證后，應(yīng)立即通知甲方，以便甲方準(zhǔn)備交貨。

6 傭金

在本協(xié)議期滿時(shí)，乙方完成了第二款所規(guī)定的數(shù)額，甲方當(dāng)按裝運(yùn)貨物所受到的全部發(fā)票金額付給乙方_____%的傭金。

7 市場(chǎng)情況報(bào)告

乙方每三個(gè)月向甲方提供一次有關(guān)當(dāng)時(shí)市場(chǎng)情況和用戶意見的詳細(xì)報(bào)告。同時(shí)，乙方應(yīng)隨時(shí)向甲方提供其它供應(yīng)商所給的類似商品的樣品及其價(jià)格、銷售情況和廣告資料。

party b shall forward once every three months to party a detailed reports on current market conditions and of consumers comments. meanwhile, party b shall, from time to time, send to party a samples of similiar commodities offered by other suppliers, together with their prices, sales informaiton and advertising materials.

8 宣傳廣告費(fèi)用

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)內(nèi)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

party b shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this agreement and submit to party a all patterns and / or drawings and description for prior approval.

9 協(xié)議有效期

本協(xié)議由雙方簽字后生效，有效期_____年，自_____至_____。若一方希望延長(zhǎng)本協(xié)議，則須在本協(xié)議期滿前一個(gè)月書面通知另一方，經(jīng)雙方協(xié)商決定。

若協(xié)議一方未履行協(xié)議條款，另一方有權(quán)終止協(xié)議。

10 仲裁

在履行協(xié)議過程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達(dá)成協(xié)議，則提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

arbitration

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.

11 其它條款

（1） 甲方不得向經(jīng)銷地區(qū)其它買主供應(yīng)本協(xié)議所規(guī)定的商品，如有詢價(jià)，當(dāng)轉(zhuǎn)給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給乙方_____%的傭金。

（2） 若乙方在_____月內(nèi)未能向甲方提供至少_____的訂貨，甲方不承擔(dān)本協(xié)議的義務(wù)。

（3） 對(duì)雙方政府間的貿(mào)易，甲方有權(quán)按其政府的授權(quán)進(jìn)行有關(guān)的直接貿(mào)易，而不受本協(xié)議的約束。乙方不得干涉此種直接貿(mào)易，也無權(quán)向甲方提出任何補(bǔ)償或傭金要求。

（4） 本協(xié)議受簽約雙方所簽定的銷售確認(rèn)條款的制約。

11 other terms&conditions

(1) party a shall not supply the contracted commodity to any other buyers in the above mentioned territory. direct enquiries, if any , will be referred to party b. howerver, should any other buyers wish to deal with party a directly, party a may do so, but party a shall send to party b a copy of sales confirmaiton and give party b_____% commission(s) concluded.

(2) should party b fail to pass on his orders to party a in a period of _____ months for a minimum of _____, party a shall not bind himself to this agreement.

(3) for any business transacted between governments of both parties, party a may handle such direct dealings as authorized by party a’s government without binding himself to this agreement. party b shall not interfere in such direct dealings, nor shall party b bring forward any demand for compensation therefrom.

第4篇 外貿(mào)代理合同范本

經(jīng)甲乙雙方友好協(xié)商，本著平等互利，共同發(fā)展的原則，就共同合作經(jīng)營(yíng)出口 業(yè)務(wù)達(dá)成以下協(xié)議：

一、 協(xié)議有效期： _____ 年 _____ 月 _____ 日至 _____ 年 _____ 月 _____ 日

二、 基本約定 未經(jīng)乙方許可甲方不得在任何場(chǎng)合使用乙方的名義簽訂合同，如因此產(chǎn)生爭(zhēng)議由甲方負(fù)責(zé)。出口業(yè)務(wù)因甲方原因引起的收匯風(fēng)險(xiǎn)均由甲方自行承擔(dān)，甲方或甲方供應(yīng)工廠不得以任何理由向乙方索取未收匯部分的貨款。

三、 操作方式甲方需向乙方如實(shí)提供出口貨物明細(xì)單，發(fā)票，裝箱單、 增值稅 專用發(fā)票和 購銷合同 在貨物報(bào)關(guān)出口后 70 天內(nèi)交給乙方。甲方必須按照?qǐng)?bào)關(guān)單上的商品品名和數(shù)量等要求完整地開具增值稅專用發(fā)票，并在開票日期 30 天內(nèi)交給乙方認(rèn)證，提供發(fā)票同時(shí)必須附上工廠的正本購銷合同。

四、 費(fèi)用結(jié)算甲方同意承擔(dān)委托乙方出口貨物的所有費(fèi)用，如海運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉儲(chǔ)費(fèi)、包干費(fèi)、簽證費(fèi)、快件費(fèi)和銀行費(fèi)用等。該費(fèi)用如系乙方墊付，可在乙方付給甲方貨款時(shí)予以扣除。 甲方通過乙方支付貨款給工廠，須在乙方收匯后根據(jù)工廠開具的 增值稅發(fā)票 按到款日人民幣匯率的基礎(chǔ)上，按雙方約定的結(jié)算價(jià)和甲方的付款要求在 3 個(gè)工作日內(nèi)將貨款支付給工廠。出口收匯后，乙方可以根據(jù)甲方要求預(yù)付工廠貨款。雙方確認(rèn)按代理費(fèi)用結(jié)算：甲方委托乙方代理出口，第一年乙方按 1 美金收取 _____ 元人民幣 ,1 歐元收取 _____ 元人民幣向甲方收取代理費(fèi)用。

五、 退稅如因甲方增值稅發(fā)票來源不明，購銷合同不能在上述規(guī)定的時(shí)間內(nèi)及時(shí)交給乙方并在國(guó)稅部門顯示申報(bào)信息等原因，而影響乙方核銷退稅的，甲方將承擔(dān)由此而引起的一切責(zé)任和損失。若政府退稅資金緊張使退稅政策兌現(xiàn)滯后，乙方可重新對(duì)上述結(jié)匯比進(jìn)行調(diào)整或雙方協(xié)商延遲付款事宜。若今后國(guó)家出口退稅率或政策有變化，按多退少補(bǔ)的原則由甲方承擔(dān)。

六、 責(zé)任與義務(wù)甲方不得出口違反中華人民共和國(guó)法律或國(guó)際 法規(guī) 的貨物，甲方應(yīng)對(duì)出口貨物所涉及的 知識(shí)產(chǎn)權(quán) 的合法性負(fù)全部責(zé)任，若由上述事項(xiàng)所引起的各種糾紛及一切后果均由甲方負(fù)責(zé)。乙方必須遵守商業(yè)道德，對(duì)甲方提供的貨物工廠及客戶資料嚴(yán)格保密。

七、 其他若甲方有一定額度的盈利保留在乙方帳戶，需要結(jié)利潤(rùn)時(shí)甲方必須開具運(yùn)費(fèi)發(fā)票按銀行實(shí)際匯率向乙方結(jié)算，或根據(jù)需要由甲方出具服務(wù)發(fā)票后乙方支付。所有合作過程中的爭(zhēng)議，雙方應(yīng)盡量友好協(xié)商解決，如協(xié)商不成應(yīng)提請(qǐng)乙方所在地有關(guān)部門或執(zhí)法機(jī)構(gòu)解決。本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，經(jīng)雙方簽字蓋章后生效。

第5篇 外貿(mào)代理出口合同

1. 代理委托方辦理有關(guān)貨物出口報(bào)關(guān)、報(bào)檢、托運(yùn)手續(xù)及結(jié)匯、退稅事宜,但因 出口合同 及其附件的瑕疵所產(chǎn)生的一切責(zé)任由委托方自行承擔(dān)。

2. 因委托方原因致使出口合同不能履行、不能完全履行或遲延履行的，代理方有權(quán)解除本 代理合同 ，委托方應(yīng)承擔(dān)由此產(chǎn)生的一切費(fèi)用和后果。

3. 因外商原因致使合同不能履行、不能完全履行或延遲履行，代理方應(yīng)及時(shí)通知委托方采取補(bǔ)救措施。如委托方在 訴訟時(shí)效 內(nèi)書面要求對(duì)外索賠的，代理方應(yīng)根據(jù)其出口合同，積極協(xié)助委托方對(duì)外索賠，委托方承擔(dān)由此產(chǎn)生的一切費(fèi)用和后果。并應(yīng)在索賠前，依據(jù)代理方書面通知將預(yù)付費(fèi)用劃至代理方帳戶。若委托方未支付有關(guān)索賠費(fèi)用，而由代理方先行支付的，則委托方喪失享有索賠產(chǎn)生的權(quán)利，但不免除因索賠而產(chǎn)生的義務(wù)。上述義務(wù)包括但不限于承擔(dān)代理方先行代墊的 律師 費(fèi)、 訴訟費(fèi) 、仲裁費(fèi)、差旅費(fèi)、通訊費(fèi)等。反之，如外商索賠，由代理方應(yīng)訴/應(yīng)裁，但委托方應(yīng)無條件協(xié)助并承擔(dān)應(yīng)訴/應(yīng)裁的一切費(fèi)用和后果。

(二). 委托方：

1. 應(yīng)提供以下有效證件復(fù)印件：

① 企業(yè)法人 營(yíng)業(yè)執(zhí)照 （含非法人營(yíng)業(yè)執(zhí)照）；

② 組織機(jī)構(gòu)代碼證；

③ 稅務(wù)登記證（國(guó)稅）；

④ 增值稅 一般納稅人資格證書或申請(qǐng)認(rèn)定表（正在申請(qǐng)一般納稅人的企業(yè)）；

⑤ 如是外商投資企業(yè)或中外合資企業(yè)，還需要提供：港澳臺(tái)僑企業(yè)批準(zhǔn)證書。

若以上證照到期后，委托方在年審后半個(gè)月內(nèi)應(yīng)提供上述資料復(fù)印件給代理方。

2. 保證所委托出口的貨物符合出、進(jìn)口國(guó)的國(guó)家政策法律規(guī)定，并保證委托出口的貨物不侵犯他人 知識(shí)產(chǎn)權(quán) 。

3. 負(fù)責(zé)組織出口貨源，并根據(jù)出口合同的規(guī)定按時(shí)將委托出口貨物運(yùn)至出運(yùn)口岸及承擔(dān)運(yùn)費(fèi)，并保證所委托的實(shí)際貨物與報(bào)關(guān)品名、規(guī)格、數(shù)量、質(zhì)量、包裝等相符。若委托方違反本條規(guī)定，則應(yīng)承擔(dān)由此產(chǎn)生的對(duì)外及對(duì)代理方的賠償責(zé)任。

4. 協(xié)助代理方辦理報(bào)關(guān)、報(bào)檢、制單、結(jié)匯等具體業(yè)務(wù)，保證從代理方處取得的所有單證的安全，不得挪作它用。

5. 代理方原則上不接受拼柜貨物。若確有必要，委托方應(yīng)于貨物報(bào)關(guān)出口前一周書面通知代理方，由代理方?jīng)Q定是否接受。

6. 委托方應(yīng)如實(shí)申報(bào)，不得虛報(bào)數(shù)量，高報(bào)價(jià)值。

7. 如委托方指定貨代以及需異地報(bào)關(guān)出口的貨物，委托方應(yīng)通知代理方其貨代名稱、地址、聯(lián)系人、電話、傳真等詳細(xì)資料，并允許代理方與貨代直接聯(lián)系，在貨物正式報(bào)關(guān)出口前，由貨代將裝箱單、發(fā)票傳真給代理方確認(rèn)。

8. 保證 增值稅發(fā)票 和專用繳款書真實(shí)、有效、合法。

9. 未經(jīng)代理方同意，委托方不得擅自更改確認(rèn)后的合同條款，不得對(duì)外商作出合同之外的承諾。

10. 承擔(dān)因委托方原因致使本合同及與外商簽訂之合同不能履行的一切責(zé)任。

11. 對(duì)外商資信負(fù)責(zé)，承擔(dān)因外商原因致使與外商簽訂之合同不能履行或與外商簽訂之合同已部份履行但無法收匯核銷的責(zé)任。前述外商違約導(dǎo)致本合同不能履行或不能完全履行，不影響本協(xié)議項(xiàng)下代理方收取代理費(fèi)的權(quán)利。

第6篇 最新外貿(mào)獨(dú)家代理合同范本

本協(xié)議于1992年9月20日在中國(guó)青島由有關(guān)雙方在平等互利基礎(chǔ)上達(dá)成，按雙方同意的下列條件發(fā)展業(yè)務(wù)關(guān)系：

2. 委任

appointment

甲方指定乙方為其獨(dú)家 代理 ，為第三條所列商品從第四條所列區(qū)域的顧客中招攬訂單，乙方接受上述委任。

6. 價(jià)格與支付

price and payment

每一筆交易的貨物價(jià)格應(yīng)由乙方與買主通過談判確定，并須經(jīng)甲方最后確認(rèn)。

付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運(yùn)日期前15天到達(dá)甲方。

7. 獨(dú)家代理權(quán)

基于本協(xié)議授予的獨(dú)家代理權(quán)，甲方不得直接或間接地通過乙方以外的渠道向新加坡顧客銷售或出口第三條所列商品，乙方不得在新加坡經(jīng)銷、分銷或促銷與上述商品相競(jìng)爭(zhēng)或類似的產(chǎn)品，也不得招攬或接受以到新加坡以外地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來自新加坡其他商家的有關(guān)代理產(chǎn)品的詢價(jià)或訂單轉(zhuǎn)交給乙方。

8. 商情報(bào)告

market report

為使甲方充分了解現(xiàn)行市場(chǎng)情況，乙方承擔(dān)至少每季度一次或在必要時(shí)隨時(shí)向甲方提供市場(chǎng)報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)厥袌?chǎng)發(fā)展趨勢(shì)以及買方對(duì)甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價(jià)格等方面的意見。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料。

in order to keep party a well informed of the prevailing market conditions, party b should undertake to supply party a, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by party a under this agreement. party b shall also supply party a with quotations and advertising materials on similar products of other suppliers.

9. 廣告及費(fèi)用

advertising and expenses

乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)在新加坡銷售代理商品做廣告宣傳的一切費(fèi)用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。

party a shall bear all expenses for advertising and publicity in connection with the commodity in question in singapore within the validity of this agreement, and shall submit to party a all audio and video materials intended for advertising for prior approval.

10. 傭金

commission

對(duì)乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按凈發(fā)票售價(jià)向乙方支付5%的傭金。 傭金在甲方收到每筆訂單的全部貨款后才會(huì)支付。

party a shall pay party b a commission of 5% on the net invoiced selling price on all orders directly obtained by party b and accepted by party a. no commission shall be paid until party a receives the full payment for each order.

11. 政府部門間的交易

transactions between governmental bodies

在甲、乙雙方政府部門之間達(dá)成的交易不受本協(xié)議條款的限制，此類交易的金額也不應(yīng)計(jì)入第五條規(guī)定的最低業(yè)務(wù)量。

transactions concluded between govenmental bodies of party a and party b shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in article 5.

12. 工業(yè)產(chǎn)權(quán)

industrial property rights

在本協(xié)議有效期內(nèi)，為銷售有關(guān)洗衣機(jī)，乙方可以使用甲方擁有的 商標(biāo) ，并承認(rèn)使用于或包含于洗衣機(jī)中的任何 專利 商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。 一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。

party b may use the trade-marks owned by party a for the sale of the washing machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the washing machines shall remain to be the sole properties of party a. should any infringement be found, party b shall promptly notify and assist party a to take steps to protect the latter's rights.

13. 協(xié)議有效期

validity of agreement

本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為1年，從1992年10月1日至1993年9月30日。 除非作出相反通知，本協(xié)議期滿后將延長(zhǎng)12個(gè)月。

this agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from october 1, 1992 to september 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.

14. 協(xié)議的終止

termination在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。

during the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

15. 不可抗力

force majeure

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。

either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. however, the party affected by the event of force majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

16. 仲裁

arbitration

因履行本協(xié)議所發(fā)生的一切爭(zhēng)議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)( 北京 )，依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。

8 宣傳廣告費(fèi)用

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)內(nèi)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

9 協(xié)議有效期

10 仲裁

在履行協(xié)議過程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達(dá)成協(xié)議，則提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached， the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party， unless otherwise awarded.

11 其它條款

（1） 甲方不得向經(jīng)銷地區(qū)其它買主供應(yīng)本協(xié)議所規(guī)定的商品，如有詢價(jià)，當(dāng)轉(zhuǎn)給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給乙方_____%的傭金。

（2） 若乙方在_____月內(nèi)未能向甲方提供至少_____的訂貨，甲方不承擔(dān)本協(xié)議的義務(wù)。

（3） 對(duì)雙方政府間的貿(mào)易，甲方有權(quán)按其政府的授權(quán)進(jìn)行有關(guān)的直接貿(mào)易，而不受本協(xié)議的約束。乙方不得干涉此種直接貿(mào)易，也無權(quán)向甲方提出任何補(bǔ)償或傭金要求。

5 付款

7 市場(chǎng)情況報(bào)告

8 宣傳廣告費(fèi)用

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)內(nèi)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

9 協(xié)議有效期

10 仲裁

在履行協(xié)議過程中，如產(chǎn)生爭(zhēng)議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達(dá)成協(xié)議，則提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)，根據(jù)該會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁。該委員會(huì)決定是終局的，對(duì)雙方均有約束力。仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

arbitration

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.

11 其它條款

（1） 甲方不得向經(jīng)銷地區(qū)其它買主供應(yīng)本協(xié)議所規(guī)定的商品，如有詢價(jià)，當(dāng)轉(zhuǎn)給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給乙方_____%的傭金。

（2） 若乙方在_____月內(nèi)未能向甲方提供至少_____的訂貨，甲方不承擔(dān)本協(xié)議的義務(wù)。

第10篇 獨(dú)家銷售外貿(mào)商品代理合同

2023獨(dú)家銷售外貿(mào)商品代理本協(xié)議系于某______年______月______日，由當(dāng)事人一方______公司按中國(guó)法律組建并存在的公司，其主營(yíng)業(yè)地在__________(以下簡(jiǎn)稱賣方)與他方當(dāng)事人_____公司，按____________國(guó)法律組建并存在的公司，其主營(yíng)業(yè)地在________(以下簡(jiǎn)稱代理商)所簽訂。

雙方一致同意約定如下：

第一條 委任與接受

第六條 最低代理額和價(jià)格

在本協(xié)議有效期內(nèi)，如果賣方通過代理商每所(12個(gè)月)從顧客處收到的貨款總金額低于某__________，則賣方有權(quán)提前30天書面通知代理商解除本協(xié)議。

賣方應(yīng)經(jīng)常向代理商提供最低的價(jià)格表以及商品可以成交的條款、條件。

第七條 訂單的處理

在招攬訂單時(shí)，代理商應(yīng)將賣方成交的條件、合同的一般條款充分通知顧客，也應(yīng)告知顧客任何合同的訂立都須經(jīng)賣方的確認(rèn)。代理商應(yīng)將其收到的訂單立即轉(zhuǎn)交給賣方，以供賣方選擇是否接受訂單。賣方有權(quán)利拒絕履行或接受代理商所獲得的訂單或訂單的一部分，而代理商對(duì)于某絕的訂單或其中的一部分，無任何傭金請(qǐng)求權(quán)。

第八條 費(fèi)用分擔(dān)

除另有約定外，所有的費(fèi)用和支出，如電訊費(fèi)、差旅費(fèi)以及其他有關(guān)商品銷售的費(fèi)用，都應(yīng)由代理商承擔(dān)。除此以外，代理商還應(yīng)承擔(dān)維持其辦公處所、銷售人員以及用于某賣方中有關(guān)代理商的義務(wù)而發(fā)生的費(fèi)用。

第九條 傭金

賣方接受代理商直接獲得的所有訂單后，就應(yīng)按商品凈銷售額的百分之______，以________(貨幣)支付給代理商傭金。傭金只有在賣方收到顧客的全部貨款后，每6個(gè)月支付一次，以匯付方式支付。

第十條 商情報(bào)告

賣方和代理商都應(yīng)按季度或按對(duì)方要求提供有關(guān)市場(chǎng)信息的報(bào)告，以盡可能促進(jìn)商品的銷售。代理商應(yīng)向賣方報(bào)告商品的庫存情況、市場(chǎng)狀況及其他商業(yè)活動(dòng)。

第十一條 商品的推銷

在代理區(qū)域內(nèi)，代理商應(yīng)積極地充分地進(jìn)行廣告宣傳以促進(jìn)商品的銷售。賣方應(yīng)向代理商提供一定數(shù)量的廣告印刷品、商品樣本、小冊(cè)子以及代理商合理要求的其他材料。

第十二條 工業(yè)權(quán)保護(hù)

在本協(xié)議有效期內(nèi)，代理商可使用賣方的商標(biāo)，但僅限于某商品的銷售。如果在本協(xié)議終止后，代理商地銷售庫存代理商品時(shí)，仍可使用賣方的商標(biāo)。代理商也承認(rèn)使用于某含于某商品中的任何專利、商標(biāo)、版權(quán)以及其他工業(yè)產(chǎn)權(quán)，都屬于某所有，并且不得以任何方式提出異議。一旦發(fā)現(xiàn)侵權(quán)，代理商應(yīng)及時(shí)通知賣方并協(xié)助賣方采取措施某賣方產(chǎn)權(quán)利益。

第十三條 協(xié)議期限

本協(xié)議經(jīng)雙方簽字生效。在本協(xié)議終止前至少3個(gè)月，賣方或代理商應(yīng)共同協(xié)商協(xié)議的續(xù)延。如果雙方一致同意續(xù)延，在上述規(guī)定的條款、條件下，附上補(bǔ)充文件，本協(xié)議將繼續(xù)有效另外________年。發(fā)生續(xù)延，本協(xié)議將于某______年______月______日終止。

第十四條 協(xié)議的中止

第十五條 不可抗力

任何一方對(duì)由于某原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分協(xié)議義務(wù)的，不負(fù)責(zé)任：

自然災(zāi)害、政府采購或禁令以及其他任何雙方在簽約時(shí)不能預(yù)料、無法控制且不能避免和克服的事件。但受不可抗力影響的一方，應(yīng)盡快地將發(fā)生的事件通知對(duì)方，并附上證明材料。

第十六條 準(zhǔn)據(jù)法

本協(xié)議有關(guān)貿(mào)易條款應(yīng)按___________解釋。本協(xié)議的有效性、組成以及履行受中華人民共和國(guó)法律管轄。

第十七條 仲裁

一、代理及法律關(guān)系

1、代理在本協(xié)議有效期內(nèi)，甲方委任乙方作為其代理，以便在代理地區(qū)獲致產(chǎn)品的訂單。乙方愿意接受并承擔(dān)此項(xiàng)委托。

4、代理權(quán)限乙方應(yīng)嚴(yán)格遵守甲方隨時(shí)發(fā)來的指示。由于乙方超越或違背甲方指示而造成的任何索賠、債務(wù)和責(zé)任，乙方應(yīng)設(shè)法保護(hù)甲方利益并賠償甲方因此而遭受的損失。

二、甲方的責(zé)任

1、廣告資料甲方應(yīng)按實(shí)際成本向乙方提供合理數(shù)量的產(chǎn)品樣品、樣本、價(jià)目表、廣告宣傳用的小冊(cè)子及其他有關(guān)產(chǎn)品推銷的輔助資料。

2、支持推銷甲方應(yīng)盡力支持乙方開展產(chǎn)品的推銷；甲方不主動(dòng)向乙方代理地區(qū)的其他客戶發(fā)盤。

3、轉(zhuǎn)介客戶除本協(xié)議另有規(guī)定外，如地區(qū)其他客戶直接向甲方詢價(jià)或訂購，甲方應(yīng)將該客戶轉(zhuǎn)介乙方聯(lián)系。

4、價(jià)格甲方提供乙方的產(chǎn)品價(jià)格資料，應(yīng)盡可能保持穩(wěn)定，如有變動(dòng)應(yīng)及時(shí)通知乙方，以利推銷。

5、優(yōu)惠條款甲方提供乙方獲致訂單的條款是最優(yōu)惠的。今后如甲方向地區(qū)其他客戶銷售產(chǎn)品而提供比本協(xié)議更有利的條件時(shí)，甲方應(yīng)立即以書面通知乙方，并向乙方提供比此項(xiàng)更有利的條件。

6、保證甲方擔(dān)保凡根據(jù)本協(xié)議出售的產(chǎn)品如經(jīng)證實(shí)在出售時(shí)質(zhì)量低劣，并經(jīng)甲方認(rèn)可，則甲方應(yīng)予修復(fù)或調(diào)換。但此項(xiàng)修復(fù)或調(diào)換的保證，以產(chǎn)品在出售后未經(jīng)變更或未經(jīng)不正確的使用為限。除上述保證外，甲乙雙方均同意不提供任何其他保證。

三、乙方的責(zé)任

1、推銷乙方應(yīng)積極促進(jìn)產(chǎn)品的推銷，獲取訂單并保持一個(gè)有相當(dāng)規(guī)模和足夠能力的推銷機(jī)構(gòu)，以利產(chǎn)品在地區(qū)的業(yè)務(wù)順利開展和擴(kuò)大。

2、禁止競(jìng)爭(zhēng)乙方除得到甲方書面同意外，不應(yīng)制造、購買、獲取訂單、或協(xié)助推銷與本協(xié)議產(chǎn)品相同或類似的其他國(guó)家商品，或?qū)⒈緟f(xié)議內(nèi)產(chǎn)品轉(zhuǎn)銷其他國(guó)家和地區(qū)。

3、最低銷售額在本協(xié)議有效期間的第一個(gè)十二個(gè)月內(nèi)，乙方從地區(qū)客戶獲得的產(chǎn)品訂單，總金額應(yīng)不少于____________元。以后每十二個(gè)月遞增______%。

4、產(chǎn)品價(jià)格與條件乙方保證按照甲方在本協(xié)議有效期內(nèi)隨時(shí)規(guī)定的價(jià)格和條件進(jìn)行推銷。在獲取訂單時(shí)；乙方應(yīng)充分告知客戶，甲方的銷售確認(rèn)書或合同內(nèi)的一般條款以及任何訂單均須經(jīng)乙方確認(rèn)接受后方為有效。乙方收到的產(chǎn)品訂單，應(yīng)立即轉(zhuǎn)給甲方以便予以確認(rèn)或拒絕。

5、督促履約乙方應(yīng)督促客戶嚴(yán)格按照銷售確認(rèn)書或合同的各項(xiàng)條款履約，例如及時(shí)開立信用證等。

6、市場(chǎng)情況報(bào)道乙方應(yīng)負(fù)責(zé)每月（或每季）向甲方提供書面的有關(guān)產(chǎn)品的市場(chǎng)報(bào)道，包括市場(chǎng)上同類產(chǎn)品的銷售情況、價(jià)格、包裝、推銷方式、廣告資料、客戶的反應(yīng)和意見等。如市場(chǎng)情況發(fā)生重大變化時(shí)，乙方應(yīng)及時(shí)以電報(bào)通知甲方。

四、費(fèi)用結(jié)算

1、甲方同意承擔(dān)委托乙方出口貨物的所有費(fèi)用，如海運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉儲(chǔ)費(fèi)、包干費(fèi)、簽證費(fèi)、快件費(fèi)和銀行費(fèi)用等。該費(fèi)用如系乙方墊付，可在乙方付給甲方貨款時(shí)予以扣除。

2、甲方通過乙方支付貨款給工廠，須在乙方收匯后根據(jù)工廠開具的增值稅發(fā)票按到款日人民幣匯率的基礎(chǔ)上，按雙方約定的結(jié)算價(jià)和甲方的付款要求在______個(gè)工作日內(nèi)將貨款支付給工廠。出口收匯后，乙方可以根據(jù)甲方要求預(yù)付工廠貨款。

3、雙方確認(rèn)按代理費(fèi)用結(jié)算甲方委托乙方代理出口，第________年乙方按1美金收取______元人民幣，1歐元收取______元人民幣向甲方收取代理費(fèi)用。

五、退稅

1、如因甲方增值稅發(fā)票來源不明，購銷合同不能在上述規(guī)定的時(shí)間內(nèi)及時(shí)交給乙方并在國(guó)稅部門顯示申報(bào)信息等原因，而影響乙方核銷退稅的，甲方將承擔(dān)由此而引起的一切責(zé)任和損失。

2、若政府退稅資金緊張使退稅政策兌現(xiàn)滯后，乙方可重新對(duì)上述結(jié)匯比進(jìn)行調(diào)整或雙方協(xié)商延遲付款事宜。若今后國(guó)家出口退稅率或政策有變化，按多退少補(bǔ)的原則由甲方承擔(dān)。風(fēng)險(xiǎn)提示：

建議違約責(zé)任具體明確，比如：如一方違反本合同應(yīng)怎樣之類的條款，盡量要避免籠統(tǒng)約定承擔(dān)違約責(zé)任。并且，可以根據(jù)際情況來規(guī)定違約賠償金的數(shù)額。此外，違約金的數(shù)額不應(yīng)過高或過低，過高可能面臨著違約訴求不被支持的風(fēng)險(xiǎn)，過低則不利于守約方，因此，建議咨詢專業(yè)律師進(jìn)行商榷。

六、違約責(zé)任

1、甲方不得出口違反中華人民共和國(guó)法律或國(guó)際法規(guī)的貨物，甲方應(yīng)對(duì)出口貨物所涉及的知識(shí)產(chǎn)權(quán)的合法性負(fù)全部責(zé)任，若由上述事項(xiàng)所引起的各種糾紛及一切后果均由甲方負(fù)責(zé)。

2、乙方必須遵守商業(yè)道德，對(duì)甲方提供的貨物工廠及客戶資料嚴(yán)格保密。

一、 甲方責(zé)任

二、乙方責(zé)任

1.負(fù)責(zé)辦理本協(xié)議每一票外銷合同項(xiàng)下的貨物訂倉、排載、裝運(yùn)、報(bào)關(guān)、報(bào)檢、保險(xiǎn)及編制有關(guān)單據(jù)等手續(xù)，甲方積極協(xié)助乙方辦理上述手續(xù)。

2.乙方對(duì)貨物的質(zhì)量、數(shù)量、包裝、交貨期負(fù)責(zé)，因貨物質(zhì)量、數(shù)量、包裝、交貨期以及不可抗力等原因造成的損失由乙方承擔(dān)。

3.負(fù)責(zé)聯(lián)系境外客戶，通知境外客戶將外匯貨款支付到甲方指定的銀行帳戶，或開立以甲方為受益人的即期不可撤消信用證。所有因外商索賠，外商違約或者其他原因造成本協(xié)議外銷合同未能履行、延遲履行、部分履行或履行不符合約定條件，使甲方未能按時(shí)收匯核銷或無法收匯核銷，乙方承擔(dān)由此產(chǎn)生的一切經(jīng)濟(jì)損失和法律責(zé)任。

4.乙方異地自理報(bào)關(guān)的，應(yīng)接受甲方監(jiān)督管理，并提前5天將出貨計(jì)劃和需要領(lǐng)取的單證傳真給甲方。所領(lǐng)取的單證應(yīng)在30天內(nèi)歸還甲方，乙方應(yīng)保證合法、安全地使用甲方提供的單證，如發(fā)生單證丟失、使用不當(dāng)和延誤等情況，所引起的一切后果和經(jīng)濟(jì)損失由乙方承擔(dān)

5.乙方應(yīng)遵守國(guó)家法律、法規(guī)和各項(xiàng)規(guī)定，乙方對(duì)甲方在授權(quán)范圍內(nèi)依本協(xié)議所做的

一切行為承擔(dān)法律責(zé)任。若乙方在執(zhí)行本協(xié)議過程中因假冒商標(biāo)、假冒產(chǎn)地或商標(biāo)侵權(quán)等違法違紀(jì)導(dǎo)致甲方經(jīng)濟(jì)和聲譽(yù)損失，乙方負(fù)全部責(zé)任。

6.乙方必須在報(bào)關(guān)出口后60天內(nèi)提供與本協(xié)議項(xiàng)下每批貨物的出口報(bào)關(guān)單相符的，由供貨工廠開具的增值稅發(fā)票，承擔(dān)增值稅發(fā)票不合法、不準(zhǔn)確、不正確而導(dǎo)致甲方無法退稅或造成騙稅行為的經(jīng)濟(jì)損失和法律責(zé)任。如乙方提供的增值稅發(fā)票、關(guān)單、核銷單系偽造或有其他與稅務(wù)局等國(guó)家管理機(jī)關(guān)要求不符之處，甲方有權(quán)拒付相當(dāng)于應(yīng)退稅款的余款。

7、乙方應(yīng)督促境外客戶按時(shí)付匯，保證甲方能在報(bào)關(guān)出口后3個(gè)月內(nèi)收回外匯。若無法按時(shí)收匯核銷而導(dǎo)致無法退稅的，乙方應(yīng)承擔(dān)由此產(chǎn)生的一切經(jīng)濟(jì)損失和法律責(zé)任。

8.若由于乙方原因?qū)е聼o法退稅的，乙方仍需安排外匯到帳，且必須開具普通商業(yè)發(fā)票給甲方，同時(shí)甲方向乙方收取出口報(bào)關(guān)金額1%的手續(xù)費(fèi);若乙方無法安排外匯到帳或無法開具普通商業(yè)發(fā)票給甲方，由此產(chǎn)生的一切經(jīng)濟(jì)損失和法律責(zé)任均由乙方承擔(dān)。

三、貨款結(jié)算：

1.甲方應(yīng)付乙方貨款以凈收匯按以下結(jié)算比價(jià)表計(jì)算：

二. 雙方權(quán)利義務(wù)：

(一). 代理方：

件的瑕疵所產(chǎn)生的一切責(zé)任由委托方自行承擔(dān)。

3. 因外商原因致使合同不能履行、不能完全履行或延遲履行，代理方應(yīng)及時(shí)通知委托方采取補(bǔ)救

措施。如委托方在訴訟時(shí)效內(nèi)書面要求對(duì)外索賠的，代理方應(yīng)根據(jù)其出口合同，積極協(xié)助委托方對(duì)外

索賠，委托方承擔(dān)由此產(chǎn)生的一切費(fèi)用和后果。并應(yīng)在索賠前，依據(jù)代理方書面通知將預(yù)付費(fèi)用劃至

代理方帳戶。若委托方未支付有關(guān)索賠費(fèi)用，而由代理方先行支付的，則委托方喪失享有索賠產(chǎn)生的

權(quán)利，但不免除因索賠而產(chǎn)生的義務(wù)。上述義務(wù)包括但不限于承擔(dān)代理方先行代墊的律師費(fèi)、訴訟

費(fèi)、仲裁費(fèi)、差旅費(fèi)、通訊費(fèi)等。反之，如外商索賠，由代理方應(yīng)訴/應(yīng)裁，但委托方應(yīng)無條件協(xié)助

② 組織機(jī)構(gòu)代碼證；

③ 稅務(wù)登記證（國(guó)稅）；

④ 增值稅一般納稅人資格證書或申請(qǐng)認(rèn)定表（正在申請(qǐng)一般納稅人的企業(yè)）；

⑤ 如是外商投資企業(yè)或中外合資企業(yè)，還需要提供：港澳臺(tái)僑企業(yè)批準(zhǔn)證書。

若以上證照到期后，委托方在年審后半個(gè)月內(nèi)應(yīng)提供上述資料復(fù)印件給代理方。

2. 保證所委托出口的貨物符合出、進(jìn)口國(guó)的國(guó)家政策法律規(guī)定，并保證委托出口的貨物不侵犯他

人知識(shí)產(chǎn)權(quán)。

3. 負(fù)責(zé)組織出口貨源，并根據(jù)出口合同的規(guī)定按時(shí)將委托出口貨物運(yùn)至出運(yùn)口岸及承擔(dān)運(yùn)費(fèi)，并

保證所委托的實(shí)際貨物與報(bào)關(guān)品名、規(guī)格、數(shù)量、質(zhì)量、包裝等相符。若委托方違反本條規(guī)定，則應(yīng)

承擔(dān)由此產(chǎn)生的對(duì)外及對(duì)代理方的賠償責(zé)任。

4. 協(xié)助代理方辦理報(bào)關(guān)、報(bào)檢、制單、結(jié)匯等具體業(yè)務(wù)，保證從代理方處取得的所有單證的安

全，不得挪作它用。

5. 代理方原則上不接受拼柜貨物。若確有必要，委托方應(yīng)于貨物報(bào)關(guān)出口前一周書面通知代理

方，由代理方?jīng)Q定是否接受。

6. 委托方應(yīng)如實(shí)申報(bào)，不得虛報(bào)數(shù)量，高報(bào)價(jià)值。

7. 如委托方指定貨代以及需異地報(bào)關(guān)出口的貨物，委托方應(yīng)通知代理方其貨代名稱、地址、聯(lián)系

人、電話、傳真等詳細(xì)資料，并允許代理方與貨代直接聯(lián)系，在貨物正式報(bào)關(guān)出口前，由貨代將裝箱

單、發(fā)票傳真給代理方確認(rèn)。

8. 保證增值稅發(fā)票和專用繳款書真實(shí)、有效、合法。

9. 未經(jīng)代理方同意，委托方不得擅自更改確認(rèn)后的合同條款，不得對(duì)外商作出合同之外的承諾。

10. 承擔(dān)因委托方原因致使本合同及與外商簽訂之合同不能履行的一切責(zé)任。

11. 對(duì)外商資信負(fù)責(zé)，承擔(dān)因外商原因致使與外商簽訂之合同不能履行或與外商簽訂之合同已部

份履行但無法收匯核銷的責(zé)任。前述外商違約導(dǎo)致本合同不能履行或不能完全履行，不影響本協(xié)議項(xiàng)

下代理方收取代理費(fèi)的權(quán)利。

12. 保證在報(bào)關(guān)日后30日內(nèi)將報(bào)關(guān)單、核銷單等退稅單據(jù)交還代理方，并保證報(bào)關(guān)單、核銷單的

所有內(nèi)容與相應(yīng)的增值稅發(fā)票和專用繳款書內(nèi)容一致。

13. 因委托方的原因，導(dǎo)致增值稅發(fā)票和專用繳款書未能退稅時(shí)，代理方有權(quán)向委托方追索該部

份退稅款。委托方應(yīng)在收到代理方書面通知后3個(gè)工作日內(nèi)將該部份退稅款，付到代理方指定的銀行

帳戶上。

三. 費(fèi)用與代理手續(xù)費(fèi)結(jié)算：

1. 代理出口過程中所發(fā)生的一切費(fèi)用,除退稅外均由委托方承擔(dān)，如因需要由代理方代為繳納的，

委托方應(yīng)在每筆費(fèi)用實(shí)際發(fā)生前轉(zhuǎn)入代理方帳戶，代理方也可直接在貨款中扣除。

本合同項(xiàng)下的出口費(fèi)用包括：保險(xiǎn)費(fèi)、港口碼頭費(fèi)、裝運(yùn)港市內(nèi)短途運(yùn)雜費(fèi)、倉儲(chǔ)費(fèi)、出口檢驗(yàn)費(fèi)、

檢疫費(fèi)、報(bào)關(guān)費(fèi)、國(guó)內(nèi)銀行費(fèi)用等。

銷單、報(bào)關(guān)單退回后，并收到委托方提供的增值稅專用發(fā)票、稅收繳款書后 3個(gè)工作日內(nèi)將外匯貨

款按1美元：9.14人民幣元的比率，扣除已按1美元：8.26人民幣元支付的貨款，將剩余貨款按委托

方的通知匯入同增值稅發(fā)票上相符的銀行帳戶，其余部分（包括不低于 13%的退稅款額）作為代理

方的代理費(fèi)用。

3．如出口合同外商付款期至?xí)r，代理方未實(shí)際全部收匯，代理方對(duì)委托方就該筆貨款保留追索權(quán)。

如代理方在委托方開具增值稅發(fā)票和繳款書二個(gè)月后在國(guó)稅局依然查無增值稅發(fā)票和繳款書的相關(guān)信

息，委托方有責(zé)任協(xié)助代理方向當(dāng)?shù)貒?guó)稅局查詢。

四. 違約責(zé)任:

1. 在本合同項(xiàng)下，如一方違約，除依法依約應(yīng)承擔(dān)違約責(zé)任及賠償責(zé)任及賠償守約方的實(shí)際損失

外，還應(yīng)承擔(dān)守約方為實(shí)現(xiàn)債權(quán)而支付的費(fèi)用，該費(fèi)用包括但不限于律師費(fèi)用、訴訟費(fèi)用、差旅費(fèi)、

通訊費(fèi)。

2. 自違約方違反本合同約定及法定義務(wù)之日起,其于后支付的任何款項(xiàng)按以下順序清償：（1）守約

方為實(shí)現(xiàn)權(quán)利支付的費(fèi)用；（2）利息或違約金、損失賠償金；（3）貨款本金。

五．爭(zhēng)議解決方式：

1．本合同適用《中華人民共和國(guó)合同法》及我國(guó)對(duì)外貿(mào)易代理的有關(guān)規(guī)定。

2．委托代理過程中發(fā)生糾紛，由雙方協(xié)商解決，協(xié)商未果的，由合同簽訂地法院裁決。

六．其他：

1.上述結(jié)算價(jià)雙方將根據(jù)2004年度實(shí)際退稅時(shí)間及市場(chǎng)行情協(xié)商調(diào)整。

2．委托方或委托方指定的工廠若需要代理方提供“產(chǎn)品購銷（買賣）合同”，該合同僅限于開具增

值稅發(fā)票用，其內(nèi)容若與本協(xié)議有矛盾，以本協(xié)議為準(zhǔn)。

3．如中國(guó)人民銀行美元和人民幣的匯率發(fā)生變動(dòng)，高于或低于1:8.26（不含本數(shù)）時(shí),則代理方與

委托方另行協(xié)商該代理合同中第三條第2點(diǎn)中結(jié)算比例,以保證代理方不發(fā)生代理業(yè)務(wù)虧損。

5．如國(guó)稅局對(duì)該產(chǎn)品出口退稅比例進(jìn)行調(diào)整,高于或低于13%（不含本數(shù)），則代理方與委托方另行

協(xié)商該代理出口合同中第三條第2點(diǎn)的結(jié)算比例,以保證代理方不發(fā)生代理業(yè)務(wù)虧損.

七．本合同一式兩份，雙方各執(zhí)一份，經(jīng)雙方簽章后生效。如有未盡事宜須補(bǔ)充或修改的應(yīng)以書面提

出并經(jīng)雙方簽章后生效，并與本代理出口合同具有同等的法律效力。
