第1篇 外貿(mào)代理合同

本協(xié)議雙方為了發(fā)展貿(mào)易，在平等互利的基礎上，按下列條件簽定本協(xié)議。

4 定單的確認

5 付款

訂單確認后，乙方須按照有關確認書所規(guī)定的時間開立以甲方為受益人的保兌的、不可撤消的即期信用證。乙方開出信用證后，應立即通知甲方，以便甲方準備交貨。

6 傭金

在本協(xié)議期滿時，乙方完成了第二款所規(guī)定的數(shù)額，甲方當按裝運貨物所受到的全部發(fā)票金額付給乙方_____%的傭金。

7 市場情況報告

乙方每三個月向甲方提供一次有關當時市場情況和用戶意見的詳細報告。同時，乙方應隨時向甲方提供其它供應商所給的類似商品的樣品及其價格、銷售情況和廣告資料。

reports on market conditions

party b shall forward once every three months to party a detailed reports on current market conditions and of consumers comments. meanwhile, party b shall, from time to time, send to party a samples of similiar commodities offered by other suppliers, together with their prices, sales informaiton and advertising materials.

8 宣傳廣告費用

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)內(nèi)所作廣告宣傳的一切費用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

party b shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this agreement and submit to party a all patterns and / or drawings and description for prior approval.

9 協(xié)議有效期

本協(xié)議由雙方簽字后生效，有效期_____年，自_____至_____。若一方希望延長本協(xié)議，則須在本協(xié)議期滿前一個月書面通知另一方，經(jīng)雙方協(xié)商決定。

若協(xié)議一方未履行協(xié)議條款，另一方有權終止協(xié)議。

10 仲裁

在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應友好協(xié)商解決。若通過友好協(xié)商未能達成協(xié)議，則提交中國國際貿(mào)易促進委員會對外貿(mào)易仲裁委員會，根據(jù)該會仲裁程序暫行規(guī)定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規(guī)定外，由敗訴一方負擔。

arbitration

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.

11 其它條款

（1） 甲方不得向經(jīng)銷地區(qū)其它買主供應本協(xié)議所規(guī)定的商品，如有詢價，當轉給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關銷售確認書副本寄給乙方，并按所達成交易的發(fā)票金額給乙方_____%的傭金。

（2） 若乙方在_____月內(nèi)未能向甲方提供至少_____的訂貨，甲方不承擔本協(xié)議的義務。

（3） 對雙方政府間的貿(mào)易，甲方有權按其政府的授權進行有關的直接貿(mào)易，而不受本協(xié)議的約束。乙方不得干涉此種直接貿(mào)易，也無權向甲方提出任何補償或傭金要求。

（4） 本協(xié)議受簽約雙方所簽定的銷售確認條款的制約。

11 other terms&conditions

(1) party a shall not supply the contracted commodity to any other buyers in the above mentioned territory. direct enquiries, if any , will be referred to party b. howerver, should any other buyers wish to deal with party a directly, party a may do so, but party a shall send to party b a copy of sales confirmaiton and give party b_____% commission(s) concluded.

(2) should party b fail to pass on his orders to party a in a period of _____ months for a minimum of _____, party a shall not bind himself to this agreement.

(3) for any business transacted between governments of both parties, party a may handle such direct dealings as authorized by party a’s government without binding himself to this agreement. party b shall not interfere in such direct dealings, nor shall party b bring forward any demand for compensation therefrom.

(4) this agreement shall be subject to the terms and conditions in the sales confirmation signed by both parties hereto.

第2篇 外貿(mào)代理合同（二）

本協(xié)議雙方為了發(fā)展貿(mào)易，在平等互利的基礎上，按下列條件簽定本協(xié)議。

8 宣傳廣告費用

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)內(nèi)所作廣告宣傳的一切費用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

advertising & publicity expenses

party b shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this agreement and submit to party a all patterns and / or drawings and description for prior approval.

9 協(xié)議有效期

本協(xié)議由雙方簽字后生效，有效期_____年，自_____至_____。若一方希望延長本協(xié)議，則須在本協(xié)議期滿前一個月書面通知另一方，經(jīng)雙方協(xié)商決定。

若協(xié)議一方未履行協(xié)議條款，另一方有權終止協(xié)議。

10 仲裁

11 其它條款

（1） 甲方不得向經(jīng)銷地區(qū)其它買主供應本協(xié)議所規(guī)定的商品，如有詢價，當轉給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關銷售確認書副本寄給乙方，并按所達成交易的發(fā)票金額給乙方_____%的傭金。

（2） 若乙方在_____月內(nèi)未能向甲方提供至少_____的訂貨，甲方不承擔本協(xié)議的義務。

（3） 對雙方政府間的貿(mào)易，甲方有權按其政府的授權進行有關的直接貿(mào)易，而不受本協(xié)議的約束。乙方不得干涉此種直接貿(mào)易，也無權向甲方提出任何補償或傭金要求。

第3篇 外貿(mào)代理合同范本

經(jīng)甲乙雙方友好協(xié)商，本著平等互利，共同發(fā)展的原則，就共同合作經(jīng)營出口 業(yè)務達成以下協(xié)議：

一、 協(xié)議有效期： _____ 年 _____ 月 _____ 日至 _____ 年 _____ 月 _____ 日

二、 基本約定 未經(jīng)乙方許可甲方不得在任何場合使用乙方的名義簽訂合同，如因此產(chǎn)生爭議由甲方負責。出口業(yè)務因甲方原因引起的收匯風險均由甲方自行承擔，甲方或甲方供應工廠不得以任何理由向乙方索取未收匯部分的貨款。

三、 操作方式甲方需向乙方如實提供出口貨物明細單，發(fā)票，裝箱單、 增值稅 專用發(fā)票和 購銷合同 在貨物報關出口后 70 天內(nèi)交給乙方。甲方必須按照報關單上的商品品名和數(shù)量等要求完整地開具增值稅專用發(fā)票，并在開票日期 30 天內(nèi)交給乙方認證，提供發(fā)票同時必須附上工廠的正本購銷合同。

四、 費用結算甲方同意承擔委托乙方出口貨物的所有費用，如海運費、保險費、倉儲費、包干費、簽證費、快件費和銀行費用等。該費用如系乙方墊付，可在乙方付給甲方貨款時予以扣除。 甲方通過乙方支付貨款給工廠，須在乙方收匯后根據(jù)工廠開具的 增值稅發(fā)票 按到款日人民幣匯率的基礎上，按雙方約定的結算價和甲方的付款要求在 3 個工作日內(nèi)將貨款支付給工廠。出口收匯后，乙方可以根據(jù)甲方要求預付工廠貨款。雙方確認按代理費用結算：甲方委托乙方代理出口，第一年乙方按 1 美金收取 _____ 元人民幣 ,1 歐元收取 _____ 元人民幣向甲方收取代理費用。

五、 退稅如因甲方增值稅發(fā)票來源不明，購銷合同不能在上述規(guī)定的時間內(nèi)及時交給乙方并在國稅部門顯示申報信息等原因，而影響乙方核銷退稅的，甲方將承擔由此而引起的一切責任和損失。若政府退稅資金緊張使退稅政策兌現(xiàn)滯后，乙方可重新對上述結匯比進行調整或雙方協(xié)商延遲付款事宜。若今后國家出口退稅率或政策有變化，按多退少補的原則由甲方承擔。

六、 責任與義務甲方不得出口違反中華人民共和國法律或國際 法規(guī) 的貨物，甲方應對出口貨物所涉及的 知識產(chǎn)權 的合法性負全部責任，若由上述事項所引起的各種糾紛及一切后果均由甲方負責。乙方必須遵守商業(yè)道德，對甲方提供的貨物工廠及客戶資料嚴格保密。

七、 其他若甲方有一定額度的盈利保留在乙方帳戶，需要結利潤時甲方必須開具運費發(fā)票按銀行實際匯率向乙方結算，或根據(jù)需要由甲方出具服務發(fā)票后乙方支付。所有合作過程中的爭議，雙方應盡量友好協(xié)商解決，如協(xié)商不成應提請乙方所在地有關部門或執(zhí)法機構解決。本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，經(jīng)雙方簽字蓋章后生效。

第4篇 外貿(mào)代理出口合同

依照國家有關法律 法規(guī) ，簽約雙方就委托代理出口業(yè)務有關事項協(xié)商一致，訂立本合同：

一. 委托代理出口商品名稱：

出口口岸： 深圳 ；總金額：xxx萬美元，在2004 年年底前履行完畢。

具體型號、規(guī)格、數(shù)量、金額在每批出口前另行確認。

二. 雙方權利義務：

(一). 代理方：

1. 代理委托方辦理有關貨物出口報關、報檢、托運手續(xù)及結匯、退稅事宜,但因 出口合同 及其附件的瑕疵所產(chǎn)生的一切責任由委托方自行承擔。

2. 因委托方原因致使出口合同不能履行、不能完全履行或遲延履行的，代理方有權解除本 代理合同 ，委托方應承擔由此產(chǎn)生的一切費用和后果。

3. 因外商原因致使合同不能履行、不能完全履行或延遲履行，代理方應及時通知委托方采取補救措施。如委托方在 訴訟時效 內(nèi)書面要求對外索賠的，代理方應根據(jù)其出口合同，積極協(xié)助委托方對外索賠，委托方承擔由此產(chǎn)生的一切費用和后果。并應在索賠前，依據(jù)代理方書面通知將預付費用劃至代理方帳戶。若委托方未支付有關索賠費用，而由代理方先行支付的，則委托方喪失享有索賠產(chǎn)生的權利，但不免除因索賠而產(chǎn)生的義務。上述義務包括但不限于承擔代理方先行代墊的 律師 費、 訴訟費 、仲裁費、差旅費、通訊費等。反之，如外商索賠，由代理方應訴/應裁，但委托方應無條件協(xié)助并承擔應訴/應裁的一切費用和后果。

(二). 委托方：

1. 應提供以下有效證件復印件：

① 企業(yè)法人 營業(yè)執(zhí)照 （含非法人營業(yè)執(zhí)照）；

② 組織機構代碼證；

③ 稅務登記證（國稅）；

④ 增值稅 一般納稅人資格證書或申請認定表（正在申請一般納稅人的企業(yè)）；

⑤ 如是外商投資企業(yè)或中外合資企業(yè)，還需要提供：港澳臺僑企業(yè)批準證書。

若以上證照到期后，委托方在年審后半個月內(nèi)應提供上述資料復印件給代理方。

2. 保證所委托出口的貨物符合出、進口國的國家政策法律規(guī)定，并保證委托出口的貨物不侵犯他人 知識產(chǎn)權 。

3. 負責組織出口貨源，并根據(jù)出口合同的規(guī)定按時將委托出口貨物運至出運口岸及承擔運費，并保證所委托的實際貨物與報關品名、規(guī)格、數(shù)量、質量、包裝等相符。若委托方違反本條規(guī)定，則應承擔由此產(chǎn)生的對外及對代理方的賠償責任。

4. 協(xié)助代理方辦理報關、報檢、制單、結匯等具體業(yè)務，保證從代理方處取得的所有單證的安全，不得挪作它用。

5. 代理方原則上不接受拼柜貨物。若確有必要，委托方應于貨物報關出口前一周書面通知代理方，由代理方?jīng)Q定是否接受。

6. 委托方應如實申報，不得虛報數(shù)量，高報價值。

7. 如委托方指定貨代以及需異地報關出口的貨物，委托方應通知代理方其貨代名稱、地址、聯(lián)系人、電話、傳真等詳細資料，并允許代理方與貨代直接聯(lián)系，在貨物正式報關出口前，由貨代將裝箱單、發(fā)票傳真給代理方確認。

8. 保證 增值稅發(fā)票 和專用繳款書真實、有效、合法。

9. 未經(jīng)代理方同意，委托方不得擅自更改確認后的合同條款，不得對外商作出合同之外的承諾。

10. 承擔因委托方原因致使本合同及與外商簽訂之合同不能履行的一切責任。

11. 對外商資信負責，承擔因外商原因致使與外商簽訂之合同不能履行或與外商簽訂之合同已部份履行但無法收匯核銷的責任。前述外商違約導致本合同不能履行或不能完全履行，不影響本協(xié)議項下代理方收取代理費的權利。

9 協(xié)議有效期

10 仲裁

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.

一、代理及法律關系

1、代理在本協(xié)議有效期內(nèi)，甲方委任乙方作為其代理，以便在代理地區(qū)獲致產(chǎn)品的訂單。乙方愿意接受并承擔此項委托。

2、代理產(chǎn)品為_____________________；代____區(qū)域為_____________________________；代理期限為_____________________________。

二、甲方的責任

1、廣告資料甲方應按實際成本向乙方提供合理數(shù)量的產(chǎn)品樣品、樣本、價目表、廣告宣傳用的小冊子及其他有關產(chǎn)品推銷的輔助資料。

2、支持推銷甲方應盡力支持乙方開展產(chǎn)品的推銷；甲方不主動向乙方代理地區(qū)的其他客戶發(fā)盤。

3、轉介客戶除本協(xié)議另有規(guī)定外，如地區(qū)其他客戶直接向甲方詢價或訂購，甲方應將該客戶轉介乙方聯(lián)系。

4、價格甲方提供乙方的產(chǎn)品價格資料，應盡可能保持穩(wěn)定，如有變動應及時通知乙方，以利推銷。

5、優(yōu)惠條款甲方提供乙方獲致訂單的條款是最優(yōu)惠的。今后如甲方向地區(qū)其他客戶銷售產(chǎn)品而提供比本協(xié)議更有利的條件時，甲方應立即以書面通知乙方，并向乙方提供比此項更有利的條件。

6、保證甲方擔保凡根據(jù)本協(xié)議出售的產(chǎn)品如經(jīng)證實在出售時質量低劣，并經(jīng)甲方認可，則甲方應予修復或調換。但此項修復或調換的保證，以產(chǎn)品在出售后未經(jīng)變更或未經(jīng)不正確的使用為限。除上述保證外，甲乙雙方均同意不提供任何其他保證。

三、乙方的責任

1、推銷乙方應積極促進產(chǎn)品的推銷，獲取訂單并保持一個有相當規(guī)模和足夠能力的推銷機構，以利產(chǎn)品在地區(qū)的業(yè)務順利開展和擴大。

2、禁止競爭乙方除得到甲方書面同意外，不應制造、購買、獲取訂單、或協(xié)助推銷與本協(xié)議產(chǎn)品相同或類似的其他國家商品，或將本協(xié)議內(nèi)產(chǎn)品轉銷其他國家和地區(qū)。

3、最低銷售額在本協(xié)議有效期間的第一個十二個月內(nèi)，乙方從地區(qū)客戶獲得的產(chǎn)品訂單，總金額應不少于____________元。以后每十二個月遞增______%。

4、產(chǎn)品價格與條件乙方保證按照甲方在本協(xié)議有效期內(nèi)隨時規(guī)定的價格和條件進行推銷。在獲取訂單時；乙方應充分告知客戶，甲方的銷售確認書或合同內(nèi)的一般條款以及任何訂單均須經(jīng)乙方確認接受后方為有效。乙方收到的產(chǎn)品訂單，應立即轉給甲方以便予以確認或拒絕。

5、督促履約乙方應督促客戶嚴格按照銷售確認書或合同的各項條款履約，例如及時開立信用證等。

6、市場情況報道乙方應負責每月（或每季）向甲方提供書面的有關產(chǎn)品的市場報道，包括市場上同類產(chǎn)品的銷售情況、價格、包裝、推銷方式、廣告資料、客戶的反應和意見等。如市場情況發(fā)生重大變化時，乙方應及時以電報通知甲方。

四、費用結算

1、甲方同意承擔委托乙方出口貨物的所有費用，如海運費、保險費、倉儲費、包干費、簽證費、快件費和銀行費用等。該費用如系乙方墊付，可在乙方付給甲方貨款時予以扣除。

2、甲方通過乙方支付貨款給工廠，須在乙方收匯后根據(jù)工廠開具的增值稅發(fā)票按到款日人民幣匯率的基礎上，按雙方約定的結算價和甲方的付款要求在______個工作日內(nèi)將貨款支付給工廠。出口收匯后，乙方可以根據(jù)甲方要求預付工廠貨款。

3、雙方確認按代理費用結算甲方委托乙方代理出口，第________年乙方按1美金收取______元人民幣，1歐元收取______元人民幣向甲方收取代理費用。

五、退稅

1、如因甲方增值稅發(fā)票來源不明，購銷合同不能在上述規(guī)定的時間內(nèi)及時交給乙方并在國稅部門顯示申報信息等原因，而影響乙方核銷退稅的，甲方將承擔由此而引起的一切責任和損失。

2、若政府退稅資金緊張使退稅政策兌現(xiàn)滯后，乙方可重新對上述結匯比進行調整或雙方協(xié)商延遲付款事宜。若今后國家出口退稅率或政策有變化，按多退少補的原則由甲方承擔。風險提示：

建議違約責任具體明確，比如：如一方違反本合同應怎樣之類的條款，盡量要避免籠統(tǒng)約定承擔違約責任。并且，可以根據(jù)際情況來規(guī)定違約賠償金的數(shù)額。此外，違約金的數(shù)額不應過高或過低，過高可能面臨著違約訴求不被支持的風險，過低則不利于守約方，因此，建議咨詢專業(yè)律師進行商榷。

六、違約責任

1、甲方不得出口違反中華人民共和國法律或國際法規(guī)的貨物，甲方應對出口貨物所涉及的知識產(chǎn)權的合法性負全部責任，若由上述事項所引起的各種糾紛及一切后果均由甲方負責。

2、乙方必須遵守商業(yè)道德，對甲方提供的貨物工廠及客戶資料嚴格保密。
