13．裝運(yùn)條款：

□fob

賣(mài)方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報(bào)/電傳/傳真通知買(mǎi)方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買(mǎi)方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣(mài)方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣(mài)方負(fù)擔(dān)。在貨物超過(guò)船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣(mài)方負(fù)擔(dān)。

□cif或cfr

賣(mài)方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝船到目的港。在cfr術(shù)語(yǔ)下，賣(mài)方應(yīng)在裝船前2天電傳/傳真/電報(bào)買(mǎi)方合同號(hào)、品名、發(fā)票價(jià)值及開(kāi)船日期，以便買(mǎi)方安排保險(xiǎn)。

□ddu

賣(mài)方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝運(yùn)至目的港。

14．裝運(yùn)通知

一俟裝載完畢，賣(mài)方應(yīng)在_________小時(shí)內(nèi)電傳/傳真/電報(bào)買(mǎi)方合同編號(hào)、品名、已發(fā)運(yùn)數(shù)量、發(fā)票總金額、毛重、船名/車(chē)/機(jī)號(hào)及啟程日期等。

15．質(zhì)量保證：

貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量 保證書(shū) 之規(guī)定，品質(zhì)保證期為貨到目的港_________個(gè)月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過(guò)程中的缺陷造成的貨物損害應(yīng)由賣(mài)方負(fù)責(zé)賠償。

16．商品檢驗(yàn)：

賣(mài)方須在裝運(yùn)前_________日委托_________檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書(shū)，貨到目的港后，由買(mǎi)方委托_________檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。

17．索賠

如經(jīng)中國(guó)_________檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書(shū)之規(guī)定不符，買(mǎi)方可于貨到目的港后_________天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書(shū)向賣(mài)方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買(mǎi)方仍可向賣(mài)方就質(zhì)量保證條款之內(nèi)容向賣(mài)方提出索賠。

18．延期交貨 違約金

除雙方認(rèn)可的不可抗力因素外，賣(mài)方遲于合同規(guī)定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。

19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及時(shí)通知買(mǎi)方。

20．爭(zhēng)議之解決方式：

□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。

21．法律適用

本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷售公約》。

13、shipment

□fob

the sellers shall ， 30 days before the shipment date specified in the contract advise the buyers by cable / telex /fax of the contract no. ， commodity ， quantity ， amount ， packages ， gross weight ， measurement ， and the date of shipment in order that the buyers can charter a vessel / book shipping space . in the event of the sellers' failure to effect loading when the vessel arrives duly at the loading port ， all expenses including dead freight and / or demurrage charges thus incurred shall be for seller's account.

the sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination . under cfr terms ， the sellers shall advise the buyers by cable/fax/telex of the contract no. ， commodity ， invoice value and the date of despatch two days before the shipment for the buyers to arrange insurance in time.

□ddu

the sellers shall ship the goods duly within the shipping duration from the port of the port of destination.

14、hipping advice ：

the sellers shall immediately upon the completion of the loading of the goods ， advise buyers of the contract no.， names of commodity ， loading quantity ， invoice values ， gross weight ， name of vessel and shipment date by tlx/fax/cable within_________hours .

15、quality guarantee ：

the sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and letter of quality guarantee .the guarantee period shall be_________ months after the arrival of the goods at the port of destination ， and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.

16、goods inspection ：

17、claims：

18、late delivery and penalty

if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty counted as above to the buyers as soon as possible.

19、force majeure ：

the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.

20、disputes settlement ：

all disputes arising out of the contract or in connection with the contract ， shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen china . the arbitral award is final and binding upon both parties.

21、law application ：

it will be governed by the law of the people's republic of china under the circumstances that the contract is singed or the goods while the disputes arising are in the people's republic of china or the deffendant is chinese legal person ， otherwise it is governed by united nations convention on contract for the international sale of goods .

22、versions ：

this contract is made out in both chinese and english of which version is equally effective .conflicts between these two language arising therefrom . if any ， shall be subject to chinese version .

12.檢驗(yàn)與索賠：

inspection and claims：

①賣(mài)方在發(fā)貨前由 檢驗(yàn)機(jī)構(gòu)對(duì)貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書(shū)。

the buyers shall have the qualities ， specifications ， quantities of the goods carefully inspected by the inspection authority ， which shall issue inspection certificate before shipment.

②貨物到達(dá)目的的口岸后，買(mǎi)方可委托當(dāng)?shù)氐纳唐窓z驗(yàn)機(jī)構(gòu)對(duì)貨物進(jìn)行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買(mǎi)方須于貨到目的口岸的 天內(nèi)憑檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書(shū)向賣(mài)方索賠。

the buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination. if the goods are found damaged / short / their specifications and quantities not in compliance with that specified in the contract， the buyers shall lodge claims against the sellers based on the inspection certificate issued by the commodity inspection authority within days after the goods arrival at the destination.

③如買(mǎi)方提供索賠，凡屬品質(zhì)異議須于貨到目的的口岸之日起 天提出凡屬數(shù)量異議須于貨到目的口岸之日起 天提出。對(duì)所裝貨物所提任何異議應(yīng)由保險(xiǎn)公司、運(yùn)輸公司或郵遞機(jī)構(gòu)負(fù)責(zé)的，賣(mài)方不負(fù)任何責(zé)任。

13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及時(shí)通知買(mǎi)方。

force majeure ： the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.

14.爭(zhēng)議之解決方式：

disputes settlement ：

13．裝運(yùn)條款：

□fob

賣(mài)方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報(bào)/電傳/傳真通知買(mǎi)方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買(mǎi)方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣(mài)方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣(mài)方負(fù)擔(dān)。在貨物超過(guò)船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣(mài)方負(fù)擔(dān)。

□cif或cfr

賣(mài)方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝船到目的港。在cfr術(shù)語(yǔ)下，賣(mài)方應(yīng)在裝船前2天電傳/傳真/電報(bào)買(mǎi)方合同號(hào)、品名、發(fā)票價(jià)值及開(kāi)船日期，以便買(mǎi)方安排保險(xiǎn)。

賣(mài)方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝運(yùn)至目的港。

14．裝運(yùn)通知

18．延期交貨違約金

除雙方認(rèn)可的不可抗力因素外，賣(mài)方遲于合同規(guī)定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。

19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及時(shí)通知買(mǎi)方。

20．爭(zhēng)議之解決方式：

18、late delivery and penalty

if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty counted as above to the buyers as soon as possible.

19、force majeure ：

the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.

20、disputes settlement ：

all disputes arising out of the contract or in connection with the contract ， shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen china . the arbitral award is final and binding upon both parties.

21、law application ：

it will be governed by the law of the people''s republic of china under the circumstances that the contract is singed or the goods while the disputes arising are in the people''s republic of china or the deffendant is chinese legal person ， otherwise it is governed by united nations convention on contract for the international sale of goods .

15.質(zhì)量保證:

17.索賠

claims:

如經(jīng)中國(guó)_____檢驗(yàn)機(jī)構(gòu)復(fù)檢,發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書(shū)之規(guī)定不符,買(mǎi)方可于貨到目的港后天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書(shū)向賣(mài)方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致,在質(zhì)量保證期限內(nèi)買(mǎi)方仍可向賣(mài)方就質(zhì)量保證條款之內(nèi)容向賣(mài)方提出索賠。

18.延期交貨違約金

late delivery and penalty

除雙方認(rèn)可的不可抗力因素外,賣(mài)方遲于合同規(guī)定的期限交貨,如買(mǎi)方同意遲延交貨,賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%,差率按7天0.5%計(jì)算,不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下,賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。

if the sellers fail to make delivery on time as stipulated in the contract , with exception of force majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty , however , shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days , if less that seven days. in case , the payment is not made through l/c , the sellers shall pay the penalty counted as above to the buyers as soon as possible.

19.人力不可抗拒:如因人力不可抗拒的原因造成本合同全部或部分不能履約,賣(mài)方概不負(fù)責(zé),但賣(mài)方應(yīng)將上述發(fā)生的情況及

時(shí)通知買(mǎi)方。

force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.

20.爭(zhēng)議之解決方式:

disputes settlement :

□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議,應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì),按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的,對(duì)雙方均有約束力。

21.法律適用

law application :

15．質(zhì)量保證：

quality guarantee :

貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量 保證書(shū) 之規(guī)定，品質(zhì)保證期為貨到目的港_____個(gè)月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過(guò)程中的缺陷造成的貨物損害應(yīng)由賣(mài)方負(fù)責(zé)賠償。

the sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and letter of quality guarantee .the guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.

16．商品檢驗(yàn)：賣(mài)方須在裝運(yùn)前_____日委托 檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書(shū)，貨到目的港后，由買(mǎi)方委托____檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。

goods inspection : the sellers shall have the goods inspected by inspection authority days before the shipment and issued the inspection certificate . the buyers shall have the goods reinspected by inspection authority after the goods arrival at the destination.

17．索賠

claims:

如經(jīng)中國(guó)_____檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書(shū)之規(guī)定不符，買(mǎi)方可于貨到目的港后 天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書(shū)向賣(mài)方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買(mǎi)方仍可向賣(mài)方就質(zhì)量保證條款之內(nèi)容向賣(mài)方提出索賠。

the buyers shall lodge claims against the sellers based on the inspection certificate issued by china inspection authority days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and letter of quality guarantee . in case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.

18．延期交貨 違約金

late delivery and penalty

除雙方認(rèn)可的不可抗力因素外，賣(mài)方遲于合同規(guī)定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。

if the sellers fail to make delivery on time as stipulated in the contract , with exception of force majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty , however , shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days , if less that seven days. in case , the payment is not made through l/c , the sellers shall pay the penalty counted as above to the buyers as soon as possible.

19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及

時(shí)通知買(mǎi)方。

force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.

20．爭(zhēng)議之解決方式：

disputes settlement :

賣(mài)方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝船到目的港。在cfr術(shù)語(yǔ)下，賣(mài)方應(yīng)在裝船前2天電傳/傳真/電報(bào)買(mǎi)方合同號(hào)、品名、發(fā)票價(jià)值及開(kāi)船日期，以便買(mǎi)方安排保險(xiǎn)。

賣(mài)方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報(bào)/電傳/傳真通知買(mǎi)方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買(mǎi)方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣(mài)方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣(mài)方負(fù)擔(dān)。在貨物超過(guò)船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣(mài)方負(fù)擔(dān)。

延期交貨違約金

除雙方認(rèn)可的不可抗力因素外，賣(mài)方遲于合同規(guī)定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%，差率按7天%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。

人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及時(shí)通知買(mǎi)方。

爭(zhēng)議之解決方式：

11．裝運(yùn)通知：一俟裝運(yùn)完畢，賣(mài)方應(yīng)即電告買(mǎi)方合同號(hào)、品名、已裝載數(shù)量，發(fā)票總金額，毛重，運(yùn)輸工具名稱及啟運(yùn)日期等。

shipping advice : the sellers shall immediately , upon the completion of the loading of the goods , advise the buyers of the contract no , names of commodity , loaded quantity , invoice values , gross weight , names of vessel and shipment date by tlx/fax.

12．檢驗(yàn)與索賠：

inspection and claims:

①賣(mài)方在發(fā)貨前由 檢驗(yàn)機(jī)構(gòu)對(duì)貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書(shū)。

the buyers shall have the qualities , specifications , quantities of the goods carefully inspected by the inspection authority , which shall issue inspection certificate before shipment.

②貨物到達(dá)目的的口岸后，買(mǎi)方可委托當(dāng)?shù)氐纳唐窓z驗(yàn)機(jī)構(gòu)對(duì)貨物進(jìn)行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買(mǎi)方須于貨到目的口岸的 天內(nèi)憑 檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書(shū)向賣(mài)方索賠。

the buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination. if the goods are found damaged / short / their specifications and quantities not in compliance with that specified in the contract, the buyers shall lodge claims against the sellers based on the inspection certificate issued by the commodity inspection authority within days after the goods arrival at the destination.

③如買(mǎi)方提供索賠，凡屬品質(zhì)異議須于貨到目的的口岸之日起 天提出；凡屬數(shù)量異議須于貨到目的口岸之日起 天提出。對(duì)所裝貨物所提任何異議應(yīng)由保險(xiǎn)公司、運(yùn)輸公司或郵遞機(jī)構(gòu)負(fù)責(zé)的，賣(mài)方不負(fù)任何責(zé)任。

the claims , if any regarding to the quality of the goods shall be lodged within days after arrival of the goods at the destination , if any regarding to the quantities of the goods , shall be lodged within days after arrival of the goods at the destination . the sellers shall not take any responsibility if any claims concerning the shipping goods is up to the responsibility of insurance company / transportation company /post office.

13．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及時(shí)通知買(mǎi)方。

force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.

14．爭(zhēng)議之解決方式：

disputes settlement :

□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。

all disputes arising out of the contract or in connection with the contract , shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen , china . the arbitral award is final and binding upon both parties.

15．法律適用

law application :

本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷售公約》。

it will be governed by the law of the people’s republic of china under the circumstances that the contract is singed or the goods while the disputes arising are in the people’s republic of china or the deffendant is chinese legal person , otherwise it is governed by united nations convention on contract for the international sale of goods .
