一、國(guó)際貨物買(mǎi)賣(mài)交貨條款

terms of delivery

1.裝船條件：

terms of shipment;

離岸加運(yùn)費(fèi)價(jià)條款：賣(mài)方應(yīng)在本合同第(9)條規(guī)定之時(shí)間內(nèi)，將貨物由裝船口岸直接船運(yùn)到中國(guó)口岸，在未經(jīng)征得買(mǎi)方同意前，

中途不得轉(zhuǎn)船。貨物不得用懸掛買(mǎi)方不能接受?chē)?guó)家的旗幟的船只裝運(yùn)。

for cfr terms: the sellers shall ship the goods within the time as stipulated in clause (9) of this contract by

a direct vessel sailing from the port of loading to china port. transhipment enroute is not allowed without the

buyers' consent.the goods should not be carried by vessels flying of the countries not acceptable to the buyers.

國(guó)際貨物買(mǎi)賣(mài)合同離岸價(jià)條款：

for fob terms:

(a)裝運(yùn)本合同貨物的船只，由買(mǎi)方或買(mǎi)方運(yùn)輸代理人中國(guó)租船公司(地址：北京、二里溝。電報(bào)掛號(hào)：zhougzu peking)租定

艙位。賣(mài)放應(yīng)負(fù)責(zé)將所訂貨物在本合同第(9)條規(guī)定的裝船期限內(nèi)按買(mǎi)方所通知的任何日期裝上買(mǎi)方指定的船只。

the shipping space for the contracted goods shall be booked by the buyers or the buyers'shipping agent,china

national chartering corporation (address: er ligou beijing cable address:zhougzu peking).the sellers shall

undertake to load the contracted goods on board the vessel nominated by the buyers on any date notified by the

buyers, within the time of shipment stipulated in the clause (9) of this contract.

(b)貨物裝運(yùn)前10—15日，買(mǎi)方應(yīng)電告賣(mài)方合同號(hào)、船只名稱(chēng)、船只預(yù)計(jì)到港日期、裝運(yùn)數(shù)量及船運(yùn)代理人的名稱(chēng)，以便賣(mài)方可

與該船運(yùn)代理人聯(lián)系及安排貨物的裝運(yùn)。賣(mài)方應(yīng)將聯(lián)系結(jié)果及時(shí)報(bào)告買(mǎi)方，如買(mǎi)方因故需要變更船只或有關(guān)船只提前或推遲到達(dá)

情況發(fā)生，買(mǎi)方或船運(yùn)代理人應(yīng)及時(shí)通知賣(mài)方。賣(mài)方亦應(yīng)與中租代理保持密切聯(lián)系。

10—15 days prior to the date of shipment,the buyers shall inform the sellers by cable if the contract number,

name of vessel, eta of vessel, quantity to be loaded and the name of shipping agent, so as to enable the latter

to contact the shipping agent directly and arrange the shipment of the goods. the sellers shall cable in time

the buyers of the result thereof. should,for certain reasons,it become necessary for the buyers to replace the

named vessel with another one, or should the named vessel arrive at the port of shipment earlier or later than

the date of arrival as previously notified to the sellers, the buyers or their shipping agent shall advise the

sellers to this effect in due time. the sellers shall also keep close contact with the agent of zhougzu.

(c)如買(mǎi)方所訂船只到達(dá)裝港后，賣(mài)方不能按買(mǎi)方所通知的時(shí)間如期裝船時(shí)，則空艙費(fèi)及滯期費(fèi)等一切費(fèi)用和后果均由賣(mài)方負(fù)擔(dān)。

但如船只臨時(shí)撤換、延期或退關(guān)等情況而未能及時(shí)通知賣(mài)方停止發(fā)貨者，在裝港發(fā)生的棧租及保險(xiǎn)費(fèi)損失的計(jì)算，應(yīng)以代理通知

之裝船日期(如貨物晚于船代理通知之裝船日期抵達(dá)裝港，應(yīng)以貨物抵港日期)為準(zhǔn)，在 港口 免費(fèi)堆存期滿(mǎn)后第16天起應(yīng)由買(mǎi)方

負(fù)擔(dān)，人力不可抗拒的情況除外，但賣(mài)方仍負(fù)有載貨船只到達(dá)裝港后立即將貨物裝船之義務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。前述各種有關(guān)費(fèi)

用均憑原始單據(jù)核實(shí)支付。

should the sellers fail to load the goods,within the time as notified by the buyers, on board the vessel booked

by the buyers after its arrival at the port of shipment, all expenses such as dead freight, demurrage, etc.,and

consequences thereof shall be borne by the sellers. should the vessel be withdraw or replaced or delayed

eventually or the cargo be shut out,etc.,and the sellers be not informed in good time to stop delivery of the

cargo, the calculation of the loss for storage expenses and insurance premium thus sustained at the loading

port should be based on the loading date notified by the agent to the sellers(or based on the date of the arrival

of the cargo at the loading port in case port in case the cargo should arrive there later than the notified

loading date).the above-mentioned loss to be calculated from the 16th day after expiry of the free storage time

at the port should be borne by the buyers with the exception of force majeure. however, the sellers stillundertaked to load the cargo immediately upon the carrying vessel's arrivel at the loading port at their own

risks and expenses. the payment of the afore-said expenses shall be effected against presentation of the original

vouchers after being checked.

2.裝船通知：貨物裝運(yùn)完畢后，賣(mài)方立即以電報(bào)通知買(mǎi)方合同號(hào)、貨名、所裝數(shù)量或重量、發(fā)票金額、船名、起運(yùn)口岸、開(kāi)船日期

及目的口岸。由于賣(mài)方不給上述裝船通知電報(bào)而導(dǎo)致買(mǎi)方不能及時(shí)保險(xiǎn)時(shí)，則所發(fā)生之一切損失均由賣(mài)方負(fù)責(zé)賠償。

advice of shipment: immediately after completion of loading of goods on board the vessel the sellers shall advise

the buyers by cable of the contract numver, name of goods, quantity or weight loaded, invoice value, name of

vessel, port of shipment, sailing date and port of destination.

should the buyers be made unable to arrange insurance in time owing to the sellers' failure to give the above

mentioned advice of shipment by cable, the sellers shall be held responsible for any and alll damage and/or loss

attributable to such failrue.

3.裝船單據(jù)：

shipping documents:

(a)賣(mài)方憑下列單據(jù)向付款銀行議付貨款：

(a)填寫(xiě)通知目的口岸中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司的空白抬頭、空白背書(shū)的全套已裝船清潔 海運(yùn) 提單(如系成本加運(yùn)費(fèi)條款則

注明運(yùn)費(fèi)已付，如系離岸價(jià)條款則注明運(yùn)費(fèi)待收)。(b)已簽署的發(fā)票5份，注明合同號(hào)及裝船碼頭。(c)注明尺碼的裝箱單/或

重量單2份。(d)本交貨條款第5條規(guī)定的品質(zhì)檢驗(yàn)證明書(shū)及數(shù)量或重量證明書(shū)各1份。(e)本交貨條款第2條規(guī)定的裝船港通知電報(bào)

副本1份。

the sellers shall present the following documents to the paying bank for negotiation of payment:(a)full set of

clean on board,'freight prepaid' for c﹠f terms or 'freight to collect' for fob terms, ocean bills of lading ,

made out to order and blank endorsed, notifying the branch of china national foreign trade transportation

corporation at the port of destination.(b) five copies of signed invoice,indicating contract number and shipping

marks.(c)two copies of packing list and/or weight memo with indication of measurement.(d)one copy each of the

certificates of quality and quantity or weight, as stipulated in the clause 5 of the terms of delivery.(e) one

duplicate copy of the cable advice of shipment,as stipulated in the chause 2 of the terms of delivery.

(b)賣(mài)方需將提單、發(fā)票及裝箱單副本各1份隨船帶交目的口岸買(mǎi)方收貨代理人中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司。

the sellers shall despatch,in care of the carrying vessel, one copy each of the duplicates of bill of lading,

invoice and packing list to the buyers receiving agent,the branch of china national foreign trade transportation

corporation at the port of destination.

(c)船啟航后立即將1份全套單據(jù)副本航空郵寄買(mǎi)方，另2份航空郵寄目的口岸的中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司。

immediately after the departure of the carrying vessel,the sellers shall airmal one set of the duplicate documents

to the buyers and two sets to the branch of china national foreign trade transportation corporation at the

port of destination.

4.危險(xiǎn)品說(shuō)明書(shū)：凡屬危險(xiǎn)品及/或有毒貨物，賣(mài)方必須提供其危險(xiǎn)或有毒性質(zhì)、運(yùn)輸、倉(cāng)儲(chǔ)及裝卸注意事項(xiàng)和急救、防治、

消防方法的說(shuō)明書(shū)，將此項(xiàng)說(shuō)明書(shū)隨同裝船單據(jù)航空郵寄給買(mǎi)方及目的口岸的中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司各3份。

dangerous cargo instruction leaflets:for dangerous and/or poisonous cargo,the sellers must provide instruction

leaflets stating the hazardous or poisonous properties,transportation,storage and handling remarks, as well as

precautionary and first-aid measures and measures against fire. the sellers shall airmail, together with other

shipping documents, three copies each of the same to the buyers and the branch of china national foreign trade

transportation corporation at the port of destination.

5.商品檢驗(yàn)：雙方同意以制造廠出具之品質(zhì)及數(shù)量或重量檢驗(yàn)證明書(shū)作為賣(mài)方向付款銀行議付貨款單據(jù)之一。但貨物的品質(zhì)及數(shù)量

或重量的檢驗(yàn)應(yīng)按下列規(guī)定辦理：

inspection: it is mutually agreed that the certificates of quality and quantity or weight issued by the manufacturer shall be part of the documents to be presented to the paying bank for negotiation of payment.

however,the inspection of quality and quantity or weight shall be made in accordance with the following:

(a)一般貨物：貨到目的口岸60天內(nèi)經(jīng)中國(guó)商品檢驗(yàn)局復(fù)驗(yàn)，如發(fā)現(xiàn)品質(zhì)或數(shù)量或重量與本合同規(guī)定不符時(shí)，除屬于保險(xiǎn)公司或

船方負(fù)責(zé)者外，買(mǎi)方憑中國(guó)商品檢驗(yàn)局出具的檢驗(yàn)證明書(shū)向賣(mài)方提出退貨或索賠。因退貨或索賠引起的一切費(fèi)用(包括檢驗(yàn)費(fèi))

及損失均由賣(mài)方負(fù)擔(dān)。在此情況下，凡貨物適于抽樣者，如賣(mài)方要求，買(mǎi)方可將樣品寄交賣(mài)方。

for general cargo: in case the quality,quantity or weight of the goods be found not in conformity with those

stipulated in this contract after re-inspection by the china commodity inspection bureau within 60 days after

arrival of the goods at the port of destination, the buyers shall return the goods to or lodge claims against

the sellers for compensation of losses upon the strength of inspection certificate issued by the said bereau,

with the exception of those claims for which the insurers or owners of the carrying vessel are liable. all

expenses (including inspection fees) and losses arising from the return of the goods or claims should be borne

by the sellers. in such case, the buyers may, if so requested, send a sample of the goods in quetion to the

sellers, provided that sampling is feasible.

(b)醫(yī)藥商品：進(jìn)口的醫(yī)藥商品應(yīng)受中華人民共和國(guó)法律及規(guī)章的約束，凡不合格的醫(yī)藥商品不準(zhǔn)進(jìn)口。雙方同意本合同所訂立此

類(lèi)商品之品質(zhì)應(yīng)以貨物到達(dá)目的口岸后90后內(nèi)經(jīng)中國(guó)商品檢驗(yàn)局檢驗(yàn)并以該局所簽發(fā)之檢驗(yàn)證為最后依據(jù)，雙方均遵守之。不合

格貨物賣(mài)方應(yīng)予收回，并賠償買(mǎi)方貨款及因退貨而遭受的運(yùn)輸、儲(chǔ)藏、利息、檢驗(yàn)等費(fèi)用損失。如中國(guó)商品檢驗(yàn)局檢驗(yàn)數(shù)量或重

量與本合同規(guī)定不符時(shí)，買(mǎi)方有權(quán)在貨物運(yùn)抵目的地口岸60天內(nèi)憑中國(guó)商品檢驗(yàn)局的檢驗(yàn)證向賣(mài)方提出索賠。

for pharmaceutical: pharmaceutical imported into china are subject to laws and regulations of the people's republic of china. disqualitied pharmaceutical are prohibited to be imported. it is mutually agreed that for the quality of the contracted goods in this category, the inspection certificate issued by the china commodity inspection bureau after inspection the goods within 90 days from the date of arrival at the port of destination shall be taken as final and binding upon both parties. the sellers shall take back all the disqualified goods and compensate the buyers for the value of the goods plus all losses sustained due to return of the cargo, such freight, storage charges, insurance premium, interest, inspection charges, etc.should the quantity/weight be found not in conformity with those stipulated in this contract after inspection by the china commodity with those stipulated in this contract after inspection by the china commodity inspection bureau, the buyers shall have the right to claim against the sellers for compensation of losses within 60 days after the arrival of the goods at the port of destination

on the basis of the inspection certificate issued by the said bureau

6.人力不可抗拒：由于一般公認(rèn)的人力不可抗拒原因而不能交貨或裝船遲延，賣(mài)方不負(fù)責(zé)任。但賣(mài)方必須在事故發(fā)生時(shí)立即電告

買(mǎi)方并在事故發(fā)生后15天內(nèi)航空郵寄給買(mǎi)方災(zāi)害發(fā)生地點(diǎn)之有關(guān)政府機(jī)關(guān)或商會(huì)所發(fā)給的證件證實(shí)災(zāi)害存在。除因不可抗力致裝

船遲延或不能交貨外，如賣(mài)方不能按合同規(guī)定期限內(nèi)裝船，則需要賠償買(mǎi)方直接由于遲期交貨或不能按合同條件交貨所遭受之一

切損失及費(fèi)用。人力不可抗拒事故如繼續(xù)存在60天以上時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同或合同中未裝運(yùn)部分。

force majerue: the sellers shallnot be held responsible for late delivery or non-delivery of the goods owing to

generally recognized 'force majerue'causes. however,in such case,the sellers shall immediately cable the buyers

the accident and airmail to the buyers within 15 days after the accident, a certificate of the accident issued by

the competent government authorities or the chamber of commerce which is located at the place where the accident

occurs as evidence thereof. with the exception of late delivery or non-delivery due to 'force majeure'causes, in case the sellers fail to make delivery within the time as stipuated in the contract,the sellers should indemnify

the buyers for all losses and expenses incurred to the latter directly attributable to late delivery or failure to

make delivery of the goods in accordance with the terms of this contract.if the 'force majeuer'cause lasts over

60 days, the buyers shall have the rigt to cancel the contract or the undelivered part of the contract.

7.仲裁：一切因執(zhí)行本合同所發(fā)生與本合同有關(guān)之爭(zhēng)執(zhí)，雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí)，此爭(zhēng)執(zhí)應(yīng)提交中國(guó) 國(guó)際貿(mào)易 促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì)， 按照該仲裁委員會(huì)仲裁程序暫行規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)北京。仲裁委員會(huì)的裁決為終局裁決，對(duì)雙方均有約束力，對(duì)仲裁費(fèi)用除非仲裁委員會(huì)另有決定外，均由敗訴一方負(fù)擔(dān)。

arbitration: all disputes in connection with this contract or the execution there of shall be amicably settled

through negotiation. in case no settlement can be reached between the two parties, the case under dispute shall

be submitted to the trade arbitration commission of the china council for the promotion of international trade

for arbitration. the arbitration shall take place in beijing,china and shall be executed in accordance with the

provisional rules of procedure of the said commission and the decision made by the arbitration commission shall

be accepted as final and binding upon both parties. the fees for arbitration shall be borne by the losing party

unless otherwise awarded.

第2篇 進(jìn)出口買(mǎi)賣(mài)合同中英

售方：

購(gòu)方：

鑒于售方同意出售，購(gòu)方同意購(gòu)買(mǎi)________________，其合同貨物的質(zhì)量、性能、數(shù)量經(jīng)雙方確認(rèn)，并簽署本合同，其條款如下：

1、合同貨物：___________________。

2、數(shù)量：________________________。

3、原產(chǎn)地：______________________。

4、價(jià)格：________________________。

5、裝船：第一次裝船應(yīng)于接到信用證后30天至45天內(nèi)予以辦理。從第一次裝船，遞增至終了，應(yīng)在12個(gè)月內(nèi)完成。

6、優(yōu)惠期限：為了履行合同，若最后一次裝船時(shí)發(fā)生延遲，售方提出憑證，購(gòu)方可向售方提供30天的優(yōu)惠期限。

7、保險(xiǎn)：由購(gòu)方辦理。

8、包裝：用新牛皮紙袋裝，每袋為_(kāi)______公斤;或用木箱裝，每箱為_(kāi)________公斤。予以免費(fèi)包裝。

9、付款條件：簽訂合同后_____天內(nèi)購(gòu)方通過(guò)開(kāi)證行開(kāi)出以售方為受益人，經(jīng)確認(rèn)的，全金額100%的，不可撤銷(xiāo)的，可分割的，可轉(zhuǎn)讓的，允許分期裝船的信用證，見(jiàn)票即付并出示下列證件：

全套售方商業(yè)發(fā)票;

全套清潔、不記名、背書(shū)提單;

質(zhì)量、重量檢驗(yàn)證明。

10、裝船通知：購(gòu)方至少在裝貨船到達(dá)裝貨港的7天前，將裝貨船到達(dá)的時(shí)間用電傳通知售方。

11、保證金：

通知銀行收到購(gòu)方開(kāi)具的不可撤銷(xiāo)信用證時(shí)，售方必須開(kāi)具信用證_____%金額的保證金。

合同貨物裝船和交貨后，保證金將原數(shù)退回給售方。若出于任何原由，本合同規(guī)定的第12條除外，發(fā)生無(wú)法交貨按數(shù)量比例將保證金作為違約予以沒(méi)收支付給購(gòu)方。

若由于購(gòu)方違約或購(gòu)方不按照本合同第9條規(guī)定的時(shí)間內(nèi)，開(kāi)具以售方為受益人的信用證，必須按保證金相同的金額付給售方。

開(kāi)具的信用證必須滿(mǎn)足合同所規(guī)定的條款內(nèi)容。信用證所列條件應(yīng)準(zhǔn)確、公道，售方并能予以承兌。通知銀行收到信用證后，通知銀行應(yīng)給開(kāi)證銀行提供保證金。

12、不可抗力：售方或購(gòu)方均不承擔(dān)由于不可抗力的任何原由所造成的無(wú)法交貨或違約，不可抗力的任何原由包括戰(zhàn)爭(zhēng)、封鎖、沖突、叛亂、罷工、雇主停工、內(nèi)亂、騷動(dòng)、政府對(duì)進(jìn)出口的限制、暴動(dòng)、嚴(yán)重火災(zāi)或水災(zāi)或被人們所不能控制的自然因素。

交貨或裝船時(shí)間可能出現(xiàn)延遲，購(gòu)方或售方應(yīng)提出證明予以說(shuō)明實(shí)情。

13、仲裁：因執(zhí)行本合同所發(fā)生的一切爭(zhēng)執(zhí)和分歧，雙方應(yīng)通過(guò)友好協(xié)商方式解決。若經(jīng)協(xié)商不能達(dá)成協(xié)議時(shí)，則提交仲裁解決。由___________________仲裁委員會(huì)仲裁，按其法規(guī)裁決。仲裁委員會(huì)的裁決是終局裁決，對(duì)雙方均有約束力。仲裁費(fèi)用應(yīng)由敗訴方承擔(dān)。除進(jìn)行仲裁的那部分外，在仲裁進(jìn)行的同時(shí)，雙方將繼續(xù)執(zhí)行合同的其余部分。

14、貨幣貶值：若美元貨幣發(fā)生法定貶值，售方保留按貶值比率對(duì)合同價(jià)格予以調(diào)整的核定權(quán)力。

15、有效期限：本合同簽字后，在______天內(nèi)購(gòu)方不能開(kāi)出以售方為受益人的信用證，本合同將自動(dòng)失效。但購(gòu)方仍然對(duì)第11條中第、項(xiàng)規(guī)定的內(nèi)容負(fù)責(zé)，支付予以補(bǔ)償。

16、本合同一式____份，經(jīng)雙方認(rèn)真審閱并遵守其規(guī)定的所有條款，在見(jiàn)證人出席下經(jīng)雙方簽字。

賣(mài)方應(yīng)在每件包裝上，用不褪色油墨清楚地標(biāo)刷件號(hào)、尺碼、毛重、凈重、“此端向上”、“小心輕放”、“切勿受潮”等字樣，并刷有下列嘜頭：_______________

除本合同另有規(guī)定外，所有進(jìn)口許可、許可證以及不屬于國(guó)家的任何政府機(jī)構(gòu)征收的一切進(jìn)口稅、關(guān)稅和各種稅收均由買(mǎi)方負(fù)擔(dān)。 except as otherwise provided herein , all import permits and licenses and the import duties, customs fees and all taxes levied by any government authority other than the seller ’s country shall be the sole responsibility of the buyer. 14．不可抗力： force majeure: 如果賣(mài)方遇到人力不可抗拒事件，包括但不限于火災(zāi)、水災(zāi)、地震、臺(tái)風(fēng)、自然災(zāi)害以及任何其他賣(mài)方不能合理控制的任何意外事故和情況，阻止、妨礙或干擾了本合同的履行時(shí)，本合同規(guī)定的賣(mài)方履約時(shí)間應(yīng)自動(dòng)延長(zhǎng)，其延長(zhǎng)年時(shí)間應(yīng)相當(dāng)于因人力不可抗拒事件直接地或間接地使賣(mài)方不能履行本合同的時(shí)間。受不可抗力事件影響的賣(mài)方應(yīng)在合理的時(shí)間內(nèi)，用電報(bào)或電傳將不可抗力事件的發(fā)生通知買(mǎi)方，并于__個(gè)月內(nèi)將有關(guān)*出具的有關(guān)不可抗力事件的證明航寄買(mǎi)方。 須用堅(jiān)固的新木箱/紙箱包裝，適合長(zhǎng)途海運(yùn)，防濕，防潮，防震，防銹，耐粗暴搬運(yùn)。由于包裝不良所發(fā)生的損失，由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損，賣(mài)方應(yīng)負(fù)擔(dān)由此而產(chǎn)生的一切費(fèi)用和/或損失。

（11）嘜頭：

賣(mài)方應(yīng)在每件包裝上，用不褪色油墨清楚地標(biāo)刷件號(hào)、尺碼、毛重、凈重、“此端向上”、“小心輕放”、“切勿受潮”等字樣，并刷有下列嘜頭：

（12）付款條件：

甲、信用證付款：在貨物裝運(yùn)前一個(gè)月，買(mǎi)方應(yīng)由_______銀行開(kāi)立以賣(mài)方為受益人的不可撤銷(xiāo)的信用證，憑本合同第13條甲項(xiàng)規(guī)定的裝運(yùn)單據(jù)交到_________（銀行）后付款。

乙、托收付款：貨物裝運(yùn)后，賣(mài)方應(yīng)將以買(mǎi)方為付款人的 匯票 連同本合同第13條甲項(xiàng)所列各種裝運(yùn)單據(jù)，通過(guò)賣(mài)方銀行寄交買(mǎi)方銀行即_______銀行轉(zhuǎn)交買(mǎi)方，并托收貨款。

丙、信匯付款：買(mǎi)方收到本合同第13條甲項(xiàng)所列單據(jù)后，應(yīng)于____天內(nèi)信匯付款。

（13）單據(jù)：

甲、賣(mài)方應(yīng)將下列單據(jù)提交付款銀行議付貨款/托收付款，如為信匯付款，下列單據(jù)應(yīng)徑寄買(mǎi)方：

1．全套可議付的潔凈已裝運(yùn)海運(yùn) 提單 ，空白抬頭，空白背書(shū)。注明“運(yùn)費(fèi)到付”，并通知到貨口岸___________公司。

2．郵包收據(jù)注明郵費(fèi)/空運(yùn)提單。

3．保險(xiǎn)單或保險(xiǎn)證明書(shū)注明投保險(xiǎn)種，一切險(xiǎn)包括tpnd。破碎，滲漏。無(wú)百分比限制，并注明貨物到達(dá)后倘發(fā)現(xiàn)殘損情況，須向到貨口岸之_____檢驗(yàn)局申請(qǐng)檢驗(yàn)。

4．發(fā)票五份，注明合同號(hào)，嘜頭。

5．裝箱單兩份，注明毛、凈重、尺碼和所裝貨物每項(xiàng)的品名數(shù)量。

6．按照本合同第18條甲項(xiàng)規(guī)定由制造廠簽發(fā)的質(zhì)量和數(shù)量/重量證明書(shū)及檢驗(yàn)報(bào)告各兩份。

7．按照本合同第15條規(guī)定的貨物裝船后立即發(fā)給買(mǎi)方裝運(yùn)通知電報(bào)真實(shí)副本一份。

乙、貨物裝運(yùn)后十天內(nèi)，除上述裝運(yùn)通知電報(bào)副本外，賣(mài)方應(yīng)另外準(zhǔn)備各種單據(jù)副本三套，以空郵將其中一套寄交買(mǎi)方，另外兩套寄交到貨口岸_____________公司。

（14）技術(shù)資料：

甲、每次發(fā)貨時(shí)，賣(mài)方應(yīng)將下述英文技術(shù)資料一整套與貨物一起裝箱，運(yùn)交買(mǎi)方：

1．基礎(chǔ)圖

2．布線說(shuō)明，電氣及/或氣動(dòng)及/或液壓接線圖

3．易損零件制造圖

4．零件目錄

5．本合同第18條甲項(xiàng)規(guī)定的品質(zhì)證明書(shū)

6．安裝、操作和維修說(shuō)明書(shū)

乙、____個(gè)月前，賣(mài)方應(yīng)將本條甲項(xiàng)所列1、2、3、4、5、6各種技術(shù)資料2套，以空郵寄交買(mǎi)方。

（15）裝運(yùn)條款：

甲、每次發(fā)貨如毛重超過(guò)__公噸，賣(mài)方應(yīng)于本合同第8條規(guī)定的裝運(yùn)期__天前，將合同編號(hào)、商品名稱(chēng)、數(shù)量、價(jià)值、件數(shù)、毛重、尺碼以及貨物在裝貨口岸各妥日期函/電告買(mǎi)方，以便買(mǎi)方訂艙。如毛重不超過(guò)___公噸，則賣(mài)方應(yīng)與裝貨口岸的買(mǎi)方裝運(yùn) 代理 人直接聯(lián)系裝運(yùn)事宜。

乙、每次發(fā)貨毛重超過(guò)兩公噸時(shí)，其訂艙事宜將由買(mǎi)方裝運(yùn)合理人________公司（電報(bào)持號(hào)：________）辦理，買(mǎi)方與該公司密切聯(lián)系有關(guān)裝運(yùn)事宜。賣(mài)方則應(yīng)與在裝貨口岸的______公司裝運(yùn)代理人密切聯(lián)系。

丙、_______公司或其港口代理人于估計(jì)承運(yùn)船到達(dá)裝貨口岸日期十天以前，將船名，預(yù)計(jì)裝船日期、合同編號(hào)初步通知賣(mài)方，以便賣(mài)方，以便賣(mài)方安排裝運(yùn)。事先指定的承運(yùn)船如有變更，或其估計(jì)到達(dá)日期提前或延期時(shí)，買(mǎi)方或其裝運(yùn)代理人應(yīng)及時(shí)通知賣(mài)方，如果該船未能于買(mǎi)方或其裝運(yùn)代理人所通知的到達(dá)日期后__天內(nèi)到達(dá)裝運(yùn)口岸，則從第__天起貨物的倉(cāng)租和火災(zāi)保險(xiǎn)費(fèi)用應(yīng)由買(mǎi)方負(fù)擔(dān)。

丁、承運(yùn)船及時(shí)到達(dá)裝貨口岸時(shí)，如賣(mài)方未將貨物備妥待裝，因此而發(fā)生的空艙費(fèi)和延滯費(fèi)均應(yīng)由賣(mài)方負(fù)擔(dān)。

戊、在貨物越過(guò)船舷并從吊鉤上卸下以前，所有在搬運(yùn)中發(fā)生的一切費(fèi)用和風(fēng)險(xiǎn)均由賣(mài)方負(fù)擔(dān)。在貨物超過(guò)船舷并從吊鉤上卸下以后，所發(fā)生的一切費(fèi)用均由買(mǎi)方負(fù)擔(dān)。

（16）裝運(yùn)通知：

貨物全部裝船后，買(mǎi)方應(yīng)立即將合同編號(hào)、商品名稱(chēng)、數(shù)量、毛重、發(fā)標(biāo)金額、船旬和開(kāi)航日期電告買(mǎi)方。如單件貨物的重量超過(guò)__公噸或闊度超過(guò)___毫米，或兩旁高度超過(guò)___毫米，則賣(mài)方應(yīng)將該件重量和尺碼告知買(mǎi)方。如由于賣(mài)方未及時(shí)將裝運(yùn)通知電告買(mǎi)方，以致貨物未及時(shí)保險(xiǎn)而發(fā)生的一切損失應(yīng)由賣(mài)方負(fù)擔(dān)。如貨物系屬危險(xiǎn)品，賣(mài)方將其性質(zhì)及處理辦法電告買(mǎi)方和到貨口岸_________公司。

（17）質(zhì)量保證：

賣(mài)方保證訂貨系用最上等的材料和頭等工藝制成，全新，未曾用過(guò)，并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。賣(mài)方并保證本合同訂貨在正確安裝、正常使用的維修的情況下，自貨物到達(dá)到貨口岸之日起__個(gè)月內(nèi)運(yùn)轉(zhuǎn)良好。

（18）檢驗(yàn)和索賠：

甲、在交貨以前，制造廠應(yīng)就訂貨的質(zhì)量、規(guī)格、性能、數(shù)量/重量做出準(zhǔn)確和全面的檢驗(yàn)，并出具貨物和與本合同規(guī)定相符的證明書(shū)，該證書(shū)為議付/托收貨款而應(yīng)上交銀行的單據(jù)的組成部分，但不得為貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量的最后依據(jù)。制造廠應(yīng)將記載試驗(yàn)細(xì)節(jié)和結(jié)果的書(shū)面報(bào)告附在質(zhì)量證明書(shū)內(nèi)。

乙、貨物到達(dá)到貨口岸后，買(mǎi)方應(yīng)申請(qǐng)中國(guó)商品檢驗(yàn)局（以下簡(jiǎn)稱(chēng)商檢局）就貨物的質(zhì)量、規(guī)格用數(shù)量/重量進(jìn)行初步檢驗(yàn)。如發(fā)現(xiàn)到貨的規(guī)格或數(shù)量/重量與合同不符，除應(yīng)由保險(xiǎn)公司或船公司負(fù)責(zé)者外，買(mǎi)方于貨物在到貨口岸卸貨后___天內(nèi)憑商檢局出具之檢驗(yàn)證書(shū)有權(quán)拒收貨物或向賣(mài)方索賠。

丙、在本合同第17條規(guī)定的保證期限內(nèi)，如發(fā)現(xiàn)貨物的質(zhì)量及/或規(guī)格與本合同規(guī)定不符或發(fā)現(xiàn)貨物無(wú)論任何原因引起的缺陷包括內(nèi)在缺陷或使用不良的原料，買(mǎi)方應(yīng)申請(qǐng)商檢局檢驗(yàn)，并有權(quán)根據(jù)商檢證向賣(mài)方索賠。

丁、賣(mài)方收到買(mǎi)方索賠通知后，如果在__天內(nèi)不答復(fù)，應(yīng)視為賣(mài)方同意買(mǎi)方提出的一切索賠。

（19）索賠解決方法：

如貨物不符合本合同規(guī)定應(yīng)由賣(mài)方負(fù)責(zé)者。同時(shí)買(mǎi)方按照本合同第17條和第18條的規(guī)定在索賠期限或質(zhì)量保證期限內(nèi)提出索賠，賣(mài)方在取得買(mǎi)方同意后，應(yīng)按下列方式理賠。

甲、同意買(mǎi)方退貨，并將退貨金額以成交原幣償還買(mǎi)方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費(fèi)用，包括利息，銀行費(fèi)用，運(yùn)費(fèi)，保險(xiǎn)費(fèi)，商檢費(fèi)，倉(cāng)租，碼頭裝卸費(fèi)以及為保管退貨而發(fā)生的一切其他必要費(fèi)用。

乙、按照貨物的疵劣程度，損壞的范圍和買(mǎi)方所遭受的損失，將貨物貶值。

丙、調(diào)換有瑕疵的貨物，換貨必須全新并符合本合同規(guī)定的規(guī)格、質(zhì)量和性能。賣(mài)方并負(fù)擔(dān)因此而發(fā)生的一切費(fèi)用和買(mǎi)方遭受的一切直接損失。對(duì)換貨的質(zhì)量，賣(mài)方仍應(yīng)按本合同第17款的決定，保證__個(gè)月。

（20）人力不可抗拒事故：

由于人力不可抗拒事故，而賣(mài)方交貨遲延或不能交貨時(shí)，責(zé)任不在賣(mài)方。但賣(mài)方應(yīng)立即將事故通知買(mǎi)方，并于事故發(fā)生后__天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出具的事故證明書(shū)用空郵寄交買(mǎi)方為證，并取得買(mǎi)方認(rèn)可，在上述情況下，賣(mài)方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。如果事故持續(xù)超過(guò)__個(gè)星期，買(mǎi)方有權(quán)撤銷(xiāo)本合同。

（21）遲交和罰款：

如延遲交貨除人力不可抗拒事故者外，賣(mài)方應(yīng)付給買(mǎi)方每一星期按遲交貨物總值的___%的遲交罰款，不足一星期的遲交日數(shù)作為一星期計(jì)算，此項(xiàng)罰款總額不超過(guò)全部遲交貨物總值的__%，在議付貨款時(shí)由銀行代為扣除，或由買(mǎi)方在付款時(shí)進(jìn)行扣除。

如遲延交貨超過(guò)原定期限___個(gè)星期時(shí)，買(mǎi)方有權(quán)終止本合同。但賣(mài)方仍應(yīng)向買(mǎi)方繳付以下規(guī)定之罰款，不得推諉或遲延。

（22）仲裁：

凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)通過(guò)友好協(xié)商解決。如不能解決，則就提交__________仲裁委員會(huì)按照該會(huì)的仲裁規(guī)則在______進(jìn)行仲裁。該仲裁委員會(huì)做出裁決是最終的，買(mǎi)賣(mài)雙方均應(yīng)受其約束，任何一方不得向法院或其他機(jī)關(guān)申請(qǐng)變更。仲裁費(fèi)用由敗訴一方承擔(dān)。
