鑒于許可方擁有一定價(jià)值并經(jīng)注冊(cè)的商標(biāo)，且被許可方希望在制造、出售、分銷(xiāo)產(chǎn)品時(shí)使用該商標(biāo)，雙方授權(quán)代表經(jīng)友好協(xié)商，達(dá)成如下協(xié)議。
whereas licensor owns certain valuable registered trademarksand licensee hope to utilize the trademark upon and in connection with the manufacture, sale and distribution of the contract products both parties authorized representatives, through friendly negotiation, agree to enter into this contract under the terms as stipulated below.
一、被許可方同意從許可方取得，許可方同意向被許可方授予單獨(dú)使用附件【】所指的 注冊(cè)商標(biāo) 的許可權(quán)利，且只在制造和出售、分銷(xiāo)合同產(chǎn)品時(shí)使用。合同產(chǎn)品的名稱(chēng)、型號(hào)、規(guī)格和技術(shù)參數(shù)詳見(jiàn)本合同附件【】。這種權(quán)利是獨(dú)占性的，是不可轉(zhuǎn)讓的權(quán)利。許可方同意在合同的有效期內(nèi)不在合同有效區(qū)域內(nèi)再授予別人 銷(xiāo)售合同 產(chǎn)品時(shí)使用這一商標(biāo)。
the licensee agree to obtain from licensor, and licensor agree to grant licensee the right to utilize the registered trademark solely and only upon and in connection with the manufacture, sale and distribution of the contract products. the name, model, specification and technical notices of the contract products are detailed in appendi_【】to the contract. the license and right are e_clusive and untransferable. licensor agrees that during the validity of this contract, it will not authorize a third party to utilize the registered trademark upon and in connection with the manufacture, sale and distribution of the contract products in the same area specified in this contract.
二、許可協(xié)議只在【】地區(qū)有效。被許可方同意不在其他地區(qū)直接或間接使用或授權(quán)使用這一商標(biāo)，且不在知情的情況下向有意或有可能在其他地區(qū)出售協(xié)議下產(chǎn)品的第三者銷(xiāo)售該產(chǎn)品。
the license hereby granted e_tends only to【】. licensee agrees that it will not make, or authorize, any use, direct or indirect, of the name in any other area, and that it will not knowingly sell articles covered by this agreement to persons who intend or are likely to resell them in any other area.
三、許可使用的期限自【】年【】月【】日起至【】年【】月【】日止。若滿(mǎn)足協(xié)議條件，本協(xié)議期限每年自動(dòng)續(xù)展，直至最后一次續(xù)展終止于【】年12月31日。始于【】年12月31日，本許可協(xié)議在每一期末自動(dòng)續(xù)展一年，到下一年的12月31日止，除非一方在協(xié)議到期前30天以前書(shū)面通知另一方終止協(xié)議的執(zhí)行。
the term of the license hereby granted shall be effective on the【】day of【】and shall continue until the【】day of【】.the term of this license may be automatically renewed from year to year upon all the terms and conditions contained herein, with the final renewal to e_pire on december 31st,【】. at the end of each term, beginning with december 31st,【】, this license shall be automatically renewed for a one year term e_piring december 31st of the following year, unless either party hereto shall be given written noticeto the contrary at least thirty (30) days prior to the e_piration date.
四、許可方有權(quán)監(jiān)督被許可方使用注冊(cè)商標(biāo)的商品質(zhì)量，被許可方應(yīng)當(dāng)保證使用該注冊(cè)商標(biāo)的商品質(zhì)量。
licensor have the right to supervise the quality of the goods in respect of which the registered trademark,and licensee shall guarantee the quality of the goods in respect of which the registered trademark is used.
被許可方同意合同產(chǎn)品將符合高標(biāo)準(zhǔn)，其試樣、外觀和質(zhì)量將能發(fā)揮其最好效益，并能保護(hù)和加強(qiáng)商標(biāo)名譽(yù)及其所代表的信譽(yù)。被許可方 保證合同 產(chǎn)品符合許可方所規(guī)定的質(zhì)量標(biāo)準(zhǔn)，同時(shí)合同產(chǎn)品的生產(chǎn)、出售、分銷(xiāo)將符合銷(xiāo)售地的法律，并不得影響許可方以及其商標(biāo)本身的名聲。
licensee agrees that the contract products covered by this contract shall be of high standard and of such style, appearance and quality as to be adequate and situated to their e_ploitation to the best advantage and to the protection and enhancement of the trademark and good will pertaining thereto. the quality of the contract products should be up to the standard specified in the contract, and will be in accordance with all laws where the contract products are manufactured, sold and distributed. the manufacture, sale and distribution of the contract products shall not reflect adversely upon the good name of licensor or any of its program or the registered trademark.
為了達(dá)到這一目標(biāo)，被許可方應(yīng)在出售合同產(chǎn)品之前，免費(fèi)寄給許可方一定數(shù)量的產(chǎn)品樣品，和其包裝紙箱及包裝材料，以取得許可方的書(shū)面同意。合同產(chǎn)品及其紙箱和包裝材料的質(zhì)量試樣需得到許可方的同意。向許可方提交的每份產(chǎn)品得到其書(shū)面同意前不能視作通過(guò)。樣品按本條所述得到同意后，被許可方在未得到許可方的書(shū)面同意前不能作實(shí)質(zhì)變動(dòng)。而許可方除非提前【】天書(shū)面通知被許可方，否則不能撤銷(xiāo)其對(duì)樣品的同意。
for the end mentioned in section 6.1 of the contract, licensee shall, before selling or distribution any of the contract products, furnish to licensor free of cost, for its written approval, a reasonable number of samples of each contract product, its cartons, containers and packing and wrapping material. the quality and style of the contract products as well as of any carton, container or packing and wrapping material shall be subject to the approval of licensor. any item submitted to licensor shall not be deemed approved unless and until the samples are approved by licensor in writing. after samples have been approved pursuant to this paragraph, licensee shall not depart therefrom in any material respect without licensor’s prior written consent, and licensor shall not withdraw its approval of the approved samples e_cept on【】days prior notice to licensee.
在被許可方開(kāi)始出售合同產(chǎn)品后，應(yīng)許可方的要求，將免費(fèi)向許可方提供不超過(guò)【】件的隨機(jī)抽樣樣品及相關(guān)的紙箱、包裝箱和包裝材料。
from time to time after licensee has commenced selling the contract products and upon licensor’s request, licensee shall furnish without cost to licensor not more than【】additional random samples of each article being manufactured and sold by licensee hereunder, together with any cartons, containers and packing and wrapping material used in connection therewith.
五、被許可方必須在使用該注冊(cè)商標(biāo)的商品上標(biāo)明自己的企業(yè)名稱(chēng)和商品產(chǎn)地。
licensee must mark its company name and production origin on the production with its registered trademark.
六、許可方應(yīng)在合同簽訂的同時(shí)，向被許可方提供注冊(cè)商標(biāo)的名稱(chēng)、內(nèi)容以及許可方向【】國(guó)申請(qǐng)注冊(cè)的有關(guān)情況。
the name, content and related situation which licensor applied for the registration from【】trademark office shall be provided by licensor to licensee while the contract is signing.
七、在本合同中被許可方使用該注冊(cè)商標(biāo)，無(wú)需支付對(duì)價(jià)。
in this contract, the licensee use the registered trademark for free.
八、許可方保證是本合同注冊(cè)商標(biāo)的合法持有者，并且有權(quán)授予被許可方使用，如果在合同的執(zhí)行過(guò)程中一旦發(fā)生第三方指控侵權(quán)時(shí)，則由許可方負(fù)責(zé)與第三方交涉，并承擔(dān)由此引起的一切法律和經(jīng)濟(jì)上的責(zé)任。
licensor guarantees that licensor is the legitimate owner of the registered【】trademark under the contract, and that licensor is lawful in a position to authorize licensee to utilize the registered trademark upon or in connection with manufacture, sale and distribution of the contract products. in the course of implementation of the contract, if any third party accuses licensee of infringement, licensor shall be responsible for approaching the third party about the accusation and bear all the economic and legal responsibilities which may arise.
九、如果被許可方在達(dá)成協(xié)議后【】月內(nèi)未開(kāi)始生產(chǎn)和銷(xiāo)售合同產(chǎn)品，許可方可書(shū)面通知被許可方終止合同。
if licensee shall not have commenced in good faith to manufacture and distribute in substantial quantities all the contract products within【】months after the date of the effectiveness of this contract, licensor have the right to terminate the contract.
十、任何一方違反本合同條款下的義務(wù)，另一方在提前【】天書(shū)面通知對(duì)方后有權(quán)終止合同，除非違約方在【】天內(nèi)對(duì)其違約行為所造成的損失作出全部賠償，令對(duì)方滿(mǎn)意。
if one of the parties to this contract violate its obligations under the terms of this contract, the other one shall has the right to terminate the contract upon【】days’notice in advance, and such notice of termination shall become effective unless the break promiser shall completely remedy the violation within the【】day period.
十一、因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商解決。如雙方通過(guò)協(xié)商不能達(dá)成協(xié)議時(shí)，則應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)【】分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。爭(zhēng)議的解決適用中華人民共和國(guó)國(guó)法律。仲裁費(fèi)由敗訴方負(fù)擔(dān)。在爭(zhēng)議的處理過(guò)程中，除正在進(jìn)行仲裁的部分外，合同的其他部分將繼續(xù)執(zhí)行。
all disputes in connection with or in the e_ecution of the contract shall be settled through friendly consultation by both parties. in case no settlement to disputes can be reached through friendly consultation by both parties, the disputes shall be submitted to china international economic and trade arbitration commission, shenzhen commission for arbitration which shall be conducted in accordance with the commission’s arbitration rules in effect at the time of applying for arbitration. the arbitral award is final and binding upon both parties. the arbitration fee shall be borne by the losing party. in the course of settling disputes, the contract shall be continuously e_ecuted by both parties e_cept for the part which is under arbitration.
十二、本合同的正文和附件是不可分割的部分，具有同等法律效力。本合同用中文、英文書(shū)就，雙方各持兩份。在合同的有效期內(nèi)，雙方通訊以【】進(jìn)行。正式通知應(yīng)以書(shū)面形式，特快專(zhuān)遞或航空掛號(hào)郵寄，一式兩份。合同雙方的法定住址如下：
the te_t of the contract and anne_es are integral parts of the contract and have same legal force and effect. the contract is made out in english and chinese in【】originals, two for each party. within the validity period of the contract, the communication between both parties shall be made in【】 the formal notice shall be made in written form in two copies, sending by registered airmail. the legal addresses of both parties of the contract are as follows:
